Flynn Group (together with its subsidiaries Apple American Group, Bell American Group, Pan American Group, RB American Group, Hut American Group, Wend American Group, and Flynn Fitness Group) seeks a driven Counsel, Real Estate and Commercial to join its industry-recognized legal team. Reporting to the Associate General Counsel, Real Estate, Commercial, and Franchising, the successful candidate will support all legal aspects of Flynn’s real estate operations and commercial practice for the world’s largest franchise operator, with more than 2,900 restaurants and gyms, and over 75,000 employees across the U.S. and Australia. This is a unique opportunity to join a diverse and dynamic in-house legal department in a high-visibility, high-impact role with direct access to senior leadership. The position may be based in any of our Support Centers located in Independence, OH; Dallas, TX; or Overland Park, KS. Flynn Support Center team members observe a 4:1 hybrid schedule, working in-office Monday through Thursday, with Friday as an optional work-from-home day.
Responsibilities and Duties
+ Review, draft, and negotiate real estate agreements, including but not limited to, leases, lease amendments, subleases, real estate purchase agreements, estoppels, SNDAs, CC&Rs, easements, and related agreements.
+ Conduct title/survey review.
+ Prepare lease summaries and analysis.
+ Provide legal advice and assistance on real estate, development, and related corporate matters.
+ Support Real Estate Property Management team to analyze rights and responsibilities under applicable leases/agreements and articulate company positions.
+ Identify opportunities for process improvements; develop and execute on improved processes and procedures to increase efficiencies, manage and utilize data, and help support growing Real Estate and Legal Departments.
+ Support Franchise Agreement review and execution; liaise with business team to collect and verify information in connection with same.
+ Help establish improved processes and systems for tracking Franchise and Development Agreements, including but not limited to dates, incentives, and remodel obligations.
+ Draft, review, analyze, modify, and negotiate commercial agreements, business associate agreements, confidentiality agreements and other contracts.
+ Interpret contract requirements, obligations, and risk exposure; prepare summaries of same.
+ Contribute to the development and improvement of contract templates, model contract library, and the efficiency of the legal contract management process.
+ Partner with the Associate General Counsel to educate/train business partners on key commercial, legal, corporate policy, contracting process technology, and other considerations.
+ Assist in the management of contract documentation flow, approvals, reporting, and archiving consistent with internal processes.
+ Support Associate General Counsel in preparing monthly and bi-annual reporting on practice group pipeline and impact.
+ Execute other tasks or responsibilities assigned by your supervisor to support the needs of the law department.
Requirements
+ 5+ years of real estate experience in a law firm and/or as an in-house attorney.
+ Experience working on multiple real estate or commercial transactions at a time, including leasing and/or purchase and sale transactions.
+ Juris Doctor from an accredited law school; member in good standing of at least one state bar.
+ Entrepreneurial mindset that enables you to successfully work independently with little guidance, but also to use good judgment and escalate issues when needed.
