Description
We are seeking an Associate General Counsel for a prominent company in the Cambridge, Ohio area. This is a hybrid position and requires onsite 2-3 days per week. Great opportunity to join a dynamic team and company!
Responsibilities:
+ Represent the Company in a full range of legal matters, including commercial agreements, labor and employment, intellectual property, regulatory, litigation, and more.
+ Engage in implementing the Company's business initiatives, strategic plans, and special projects alongside the Corporate Counsel, as well as other members of Senior Leadership.
+ Maintain expertise and advise appropriate department members regarding legal developments.
+ Assistance with legal support of the company globally, including corporate governance, commercial agreements, joint ventures, and acquisitions/ divestitures.
+ Serve as acting secretary to company management board
+ Partner with Human Resources regarding various personnel matters, policies, and complex employee relations issues.
+ Support and assist management to ensure compliance with federal and state regulations and rules that apply to the Company's activities.
+ Review and advise management on the Company's rights and obligations.
+ Draft, review and revise customer contracts in negotiation and consultation with management and customers/vendors.
+ Amend contracts after negotiations and consultation with customers/vendors.
+ Mediate between opposing parties if there is a breach of contract.
+ Track and execute contract renewals before the expiration date.
Requirements
• Possession of a Juris Doctorate (JD) degree from an accredited law school.
• Active member of the State Bar of Ohio
• Minimum of 3 years of experience practicing law, with a focus on manufacturing industry.
• Proficient in drafting, negotiating, and reviewing commercial contracts.
• Demonstrated experience in advising on a variety of legal matters, including intellectual property, labor and employment, and corporate governance.
• Strong legal research and analytical skills.
• Excellent written and verbal communication abilities.
• Ability to work independently and as part of a team.
• Proven ability to manage multiple projects, prioritize tasks and meet strict deadlines.
• High degree of detail-oriented ethics, integrity and gravitas.
• Experience in representing a company before legal bodies and regulatory authorities.
• Solid understanding of manufacturing laws, regulations, and standards.
• Familiarity with risk management and quality assurance control.
• Proactive in identifying legal issues and providing strategic solutions.
• Comfortable working in a fast-paced, high-pressure environment.
• Proficiency in using legal software and computer databases for research and case management.
