Geo-Technology Associates (GTA). GTA is a growing 500+ person geotechnical engineering, environmental consulting, construction observation and materials testing firm with almost 30 offices in 12 states and a terrific culture. We are seeking a detail-oriented Legal Contract Review Specialist (LCRS) to ensure the integrity, compliance, fairness and clarity of our contractual agreements. The position will be based in our Abingdon, Maryland office.
The LCRS will review, draft, negotiate, and analyze contracts to support business risk management. This role requires strong attention to detail, a solid grasp of contract law and the ability to identify risks and negotiate fair terms. The LCRS will work closely with internal teams (including GTA owners and General Counsel), clients, and vendors to ensure all agreements align with company risk management principles.
Key Responsibilities:
+ Review and analyze a variety of contracts, including vendor agreements, client agreements, non-disclosure agreements (NDAs), teaming agreements, purchase orders and reliance letters.
+ Identify potential legal, business or operational risks within contract terms and conditions.
+ Draft, revise, and redline contract language to ensure clarity, accuracy, and compliance with company standards and legal requirements.
+ Collaborate with legal counsel (including opposing counsel), GTA employees (including GTA shareholders), GTA's CAO and CFO to negotiate terms and finalize agreements.
+ Maintain an organized contract database (file system) and ensure timely turnarounds of reviews. Target turnaround time of initial review is 48 hours.
+ Provide summaries and recommendations to management regarding contract obligations and key provisions.
+ Through GTA's outside counsel, and other legal resources, stay informed of relevant laws and regulations that may impact contract terms. Including differences in various state laws.
+ Assist in developing and improving contract templates and processes to enhance efficiency.
+ Assist management in tracking work with unsigned contracts.
+ Provide training to employees on legal and compliance matters.
Qualifications:
+ AAS with paralegal certification OR bachelor's degree in law or related field OR at least 7 years of paralegal experience at a reputable law firm
+ Strong knowledge of contract law and legal terminology
+ Excellent negotiation, communication, and attention to detail
+ High integrity and commitment to fair risk allocation in agreements
+ Ability to distinguish legal issues from business considerations
+ Clear written and verbal communication of legal, business, and insurance concepts
+ Capable of managing multiple priorities in a fast-paced environment; takes initiative to support the team
+ Proficient in Microsoft Word, Excel, Adobe, and contract management tools (e.g., DocuSign)

SALARY RANGE: $45,000 - $75,000
