Description We are looking for an experienced Paralegal to join a boutique law firm in McLean, Virginia. In this role, you will provide essential support to attorneys by managing a variety of business transaction tasks and ensuring seamless client service. This is an excellent opportunity to work closely with an accomplished legal team on a wide range of corporate and business law matters.

Responsibilities:

• Prepare and organize documentation related to business entity formation, restructuring, and governance, including LLCs, S-corporations, and partnerships.

• Assist attorneys in drafting and reviewing corporate documents such as operating agreements, bylaws, shareholder agreements, and meeting minutes.

• Conduct legal research and stay updated on federal and state regulations that may affect clients.

• Draft executive and employment agreements in compliance with relevant employment laws.

• Maintain corporate records and ensure timely and accurate regulatory filings.

• Collaborate with accountants and other advisors on general counsel and tax-related matters.

• Provide administrative and transactional support to attorneys handling business law cases.

• Monitor and manage deadlines to ensure all legal documentation and filings are completed on time. Requirements

• At least 3 years of experience as a paralegal specializing in corporate or business law within a law firm or in-house setting.

• Strong knowledge of business entity types and formation procedures.

• Familiarity with corporate governance, federal and state employment laws, and commercial contracts.

• Excellent organizational and communication skills to handle multiple deadlines and priorities.

• Ability to work independently and thrive in a fast-paced environment.

• Bachelor's degree or Paralegal Certificate is required.

• Proficiency in managing regulatory compliance and conducting legal research.
