This position is a 0.9 FTE and is a WFH position 95% of the time but will meet 4x per year regionally within the CPCCO Counties (Tillamook, Clatsop, and Columbia).
Job Summary
This position provides high-level governance and coordination for the Vice President, Columbia Pacific CCO (VP, CPCCO), Board of Directors members, including Board committees, other CCO leadership, and CareOregon governance staff. Assures all administrative duties related to CPCCO governance are completed timely and in accordance with OHA OARs. The position also provides executive level administrative support to the CCO Leadership Team members, as needed.
Essential Responsibilities
Governance
+ Assist in all aspects of Board of Directors meetings and other governance committees including the Governance & Compliance Committee and the Finance, Equity and Network & Quality Committee.
+ Prepare Board packets and Board Committee meeting materials and distribute in a timely manner, consistent with pre-meeting review expectations.
+ Staff the CCO Governance and Compliance Committee in collaboration with Board Chair and VP, CPCCO, including brainstorming and potential outreach to prospective new directors.
+ Prepare annual slates of directors and officers in accordance with requirements specified in the CCO Operating Agreement.
+ Develop and maintain outreach materials for potential new Board members in collaboration with Board Chair, VP, CPCCO and Board.
+ Develop, organize, and implement training and orientation program(s) for new Board Members in collaboration with Board Chair and VP, CPCCO.
+ Prep the CPCCO Board chair on monthly agenda and meeting attendance, incorporate requested supports into meeting facilitation, and follow-up on additional assistance requests.
+ Establish and manage monthly process for public to provide testimony at Board Meetings.
+ Prepare quarterly Dashboard Reports for the Board of Directors, VP, CPCCO, as determined/requested by the Board of Directors.
+ Work with CAC Coordinators and other CPCCO staff to assure that meeting minute summaries and other governance documents are available/posted on the CCO website.
+ Maintain all compliance documents including Board training materials (e.g. HIPAA, FWA), Board documents (e.g. Conflict of Interest, Confidentiality and NAIC forms), OIC/SAM reviews, and current Ethics and Compliance Program and Code of Conduct in collaboration with key CareOregon leaders.
+ Provide updates to OHA as needed for changes to the Board composition within 30 days of such change and provide internal and external governance support for other regulatory requests including audits and examinations.
+ Maintain all governance materials, including annual updates and approvals, distribution to Board members and other CareOregon and CCO leadership, and posting of materials on the secure document storage site (e.g. Huddle).
+ Assist the CCO Leadership Team and other department staff in documenting workflows, job aides and other documents describing CCO governance and other key end-to-end work to support the CCO structure.
+ Provide executive level administrative support to the VP and CCO Directors, as needed, including scheduling and arranging all aspects for meetings with internal and external groups, helping with pre- and post-meeting materials and preparing a wide variety of reports, presentations and other documents.
+ Respond to local and state officials, community members, key partners and other customers when members of the CCO Leadership Team are not available.
+ Organize and maintain comprehensive, reliable and accessible databases including items like contact information, committee rosters, committee structures and other files related to documenting and maintaining the work of the CCO.
+ Manage special projects or assignments as needed or requested by Board members or CCO leadership, including determining priorities, monitoring and reporting progress and recommending adjustments to plan.
+ Establish and maintain cooperative and productive working relationships with internal and external stakeholders contacted in the course of work.

Experience and/or Education
Required
+ Minimum 5 years’ experience in high-level governance functions, with preference to non-profit governance experience
+ Minimum 3 years’ experience in program or project coordination
