Description

Established Napa County firm is seeking a Transactional Attorney to join their congenial team.

Responsibilities:

• Assist in business formation and reorganization processes

• Handle mergers and acquisitions, including drafting and negotiating acquisition agreements and ancillary documents

• Supervise entry-level associates and manage transactions

• Work on corporate formation, general corporate work, governance and compliance matters

• Interpret and analyze a variety of documents including transactional documents, diligence materials and similar documents

• Show versatility and flexibility in work approach, with keen attention to detail

• Use proficiency in Microsoft Office (Outlook, Word, Excel) for task execution

• Foster a collaborative work environment

• Display excellent written and verbal communication skills

• Provide excellent customer service to both internal and external customers

• Demonstrate strong organizational skills and problem-solving ability

• Handle high-volume workload and effectively prioritize matters

• Work independently and self-motivate.

Requirements • Proficiency in Entity Formation is necessary

• Must have a strong understanding of Mergers & Acquisitions (M& A)

• Ability to deal with Commercial Contracts is essential

• Should possess knowledge in Real Property matters

• Must demonstrate the capability to Negotiate Contracts

• Needs to have a solid background in Corporate Governance

• Compliance knowledge is mandatory
