    The selected candidate will provide contracts management support for M.C. Dean’s Critical Power and National Accounts Group.

     

    Critical Power Group provides Uninterruptible Power Supply (UPS) and Generator systems related preventative and corrective maintenance services and equipment to ensure integrity of mission critical systems, aimed at ensuring its customers continuous uptime, preventing disruptive and costly outages, and providing effective data center infrastructure support. The National Accounts Group provides Electrical, Data, CCTV & Access Control services, Pole Light maintenance and repair services, Data Center added Circuits & Whips, Switchgear upgrades and replacements, Lighting retrofits, and other small Design-Build projects.

     

    The selected candidate will work with the business teams to review contracts and purchase orders, negotiate terms with customers, and address risk issues. The position will report directly to the General Counsel or other counsel in the Law Department.

    Responsibilities

    Responsibilities:

    1. Review, analyze, and negotiate legal and commercial terms and conditions in contracts, purchase orders, non-disclosure agreements, master services agreements, registrations, bid documents, and other company legal documents for acceptability and compliance with corporate business, legal, and risk management policies and procedures.

    2. Negotiates mid to complex contractual instruments commensurate with skills and grade level.

    3. Communicates contract policy and practice to internal business teams. Ensures contract review, approval and execution in accordance with corporate and/or business unit guidelines.

    4. Prepares, organizes and maintains contract records and files documenting contract performance and compliance

    5. Analyzes significant, and/or unique contract requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, and corporate policies and business unit procedure.

    6. Provides contractual guidance to business team members for appropriate Statement of Work. Manages contract change control process.

    7. Provides authoritative guidance to internal business teams on corporate goals and objectives relating to contract activity.

    8. Focal point for all communication with law, finance and business team disciplines for resolution of contract issues and disputes.

    9. May assist in new business pursuit and associated contract strategy.

    10. Assists in identification, development and implementation of new contract policy and processes.

    11. Review insurance requirements and provide direction for fulfillment of customer requested certificates of insurance.

    12. Have a general understanding of the business case and an appreciation of financial/analytical issues and profit and loss implications.

    13. Work with the business team to review and negotiate the commercial terms to address financial and contractual risk.

    Qualifications

    Experience

    1. Ability to review, redline, and negotiate commercial and legal terms and conditions of customer Purchase Orders, Contracts, and other contract documents in accordance with company policies and processes.

    2. Working to excellent knowledge of corporate policies and procedures, coupled with ability to identify required improvement to established policies.

    3. Working to expert knowledge of contracting concepts, Uniform Commercial Code, applicable public contract acquisition law and regulations, and applicable commercial contract law.

    4. Strong to excellent analytical and communication skills.

    5. Good presentation, leadership and team-building skills.

    6. Use of independent judgment and creativity applied to resolution of contract issues.

    7. Excellent internal and external negotiation skills.

    8. Emerging ability to excel in upper level management environment.

    9. Moderate working knowledge of local, state, and federal government contracting

    Education/Experience

    1. 2+ years of experience with a BS/BA degree

    2. 8+ years with an associates or high school degree

    Desired

    1. Law degree (J.D or LLM) is a plus.

    2. Evidence of contracts professional Continuing Education classes or certifications (e.g., NCMA or other)

    Abilities:

    1. Exposure to computer screens for an extended period of time

    2. Sitting for extended periods of time.

    3. Reach by extending hands or arms in any direction.

    4. Have finger dexterity in order to manipulate objects with fingers rather than whole hands or arms, for example, using a keyboard.

    5. Listen to and understand information and ideas presented through spoken words and sentences.

    6. Communicate information and ideas in speaking so others will understand.

    7. Read and understand information and ideas presented in writing.

    8. Apply general rules to specific problems to produce answers that make sense.

    9. Identify and understand the speech of another person.

     

    Travel is not anticipated but may be needed on limited basis as needed for training or customer interactions or negotiations.
