Our client, an influential organization, is offering an exciting opportunity to join their fast-paced, entrepreneurial team in Chicago, IL. In this Corporate Paralegal role, you will play a pivotal part in shaping the firm's strategic direction.

Key Responsibilities

Your role will include, but is not limited to:

+ Managing corporate records, minute books, and subsidiary governance processes.

+ Coordinating with external service providers on corporate secretarial and subsidiary management.

+ Supporting compliance with various filing deadlines, requests for information (e.g., KYC), and corporate formation documents.

+ Preparing legal documentation such as resolutions, minutes, LLC agreements, IRS EIN applications, and UCC financing statement releases.

+ Assisting with corporate and transactional processes, including M& A, financing, and real estate closings.

+ Providing support for litigation, compliance, and special legal team projects.

+ Utilizing legal department tools to support contract and project management.

Requirements

+ 4-7+ years of experience in corporate legal roles, preferably with corporate secretarial and subsidiary management experience.

+ Excellent organizational, writing, and communication skills with a keen eye for detail.

+ High degree of professionalism, discretion, and judgment, particularly in confidential settings.
