Talen is seeking a dynamic **mid-to-senior-level corporate attorney** to join our growing legal team. This is an exciting opportunity for a legal professional with 4–7 years of well-rounded corporate and securities law experience to work directly with business leaders and stakeholders on a broad array of legal matters. The role offers exposure to day-to-day business operations, public company compliance, securities law, capital markets, M&A, corporate governance, and more, with additional opportunities to support litigation, compensation and benefits, power/commodities transactions, and energy/environmental regulatory matters.
What you may own:
+ Collaborate with finance and accounting teams to prepare and file SEC reports, proxy statements, registration statements, and beneficial ownership filings.
+ Advise investor relations and communications teams on public disclosure strategies, content, and compliance matters.
+ Manage corporate governance policies and ensure compliance with legal, regulatory, and stock exchange requirements, as well as best practices.
+ Oversee capital markets transactions, including public and private securities issuances or repurchases.
+ Support finance and treasury teams and outside counsel on institutional finance transactions (e.g., debt facilities, securitizations) and ongoing debt compliance.
+ Partner with corporate development teams on mergers, acquisitions, and strategic initiatives.
+ Prepare board materials, resolutions, and maintain corporate records and entity good standing.
+ Provide legal advice on a variety of day-to-day business matters such as confidentiality agreements, professional engagements, and vendor contracts.
+ Depending on interest and experience, participate in other areas relevant to the business, including litigation, compensation/benefits, power/commodities transactions, and regulatory issues.
What you have:
+ J.D. from an accredited law school.
+ Active member in good standing of at least one U.S. state bar.
+ 4–7 years of broad-based corporate/securities law experience, preferably from a law firm and/or in-house legal department.
+ Strong knowledge of SEC reporting requirements, public company compliance, and capital markets transactions.
+ Excellent analytical, communication, and interpersonal skills with the ability to convey complex legal concepts clearly and effectively.
+ Collaborative team player with a flexible, proactive approach to a wide range of legal and business matters.
+ Preferred but not required: Experience in the energy sector and/or commodities and derivatives transactions.

The expected salary range for this position is $XX to $XX annually. Actual pay will be adjusted based on experience and other job-related factors as permitted by law. Successful candidates will also participate in Talen Energy’s Short-Term Incentive program.
