    The Vice President for Corporate Governance and General Counsel position reports to the CEO and serves as a member of the dynamic and collaborative executive leadership team, which sets the strategic direction, operating philosophy and internal policy of the organization.

    GENERAL SUMMARY

    Executive Leadership Team Position:

    Serve as a member of the dynamic and collaborative executive leadership team, which determines the strategic direction, operating philosophy, and internal policy of the organization. The executive leadership team at Energy Northwest may periodically have changes in scope and purview to support the needs of the agency. This provides our executives opportunities for career development and growth, while enhancing the synergy of the full executive leadership team.

    Current Purview:

    The VP, Corporate Governance & General Counsel is currently responsible for the following organizations: Compliance (which includes Environmental and Regulatory Programs, Legal Services and Regulatory Affairs), Public Affairs and Supply Chain Services. This position also provides oversight of the activities and involvement of outside legal firms retained for specialist purposes and/or investigations.

     

    As the General Counsel for the agency, ensure that the legal, regulatory and compliance interests of Energy Northwest are protected and appropriately advised to the Chief Executive Officer, Board of Directors, Executive Board, Participants Review Board, and management/staff. Responsible for effectively managing all legal, regulatory and compliance matters affecting Energy Northwest, and other organizations and/or work scope as assigned.

    PRINCIPAL ACCOUNTABILITIES

    Team Oversight & Leadership:

    Provide exemplary leadership and management direction to the organizations within this position’s purview, including planning and assigning projects or tasks, monitoring progress, and evaluating results. Manage and evaluate staff performance. Evaluate staff development needs and provide appropriate training and developmental opportunities. Develop current and future leaders through succession planning, use of developmental plans and through active monitoring and coaching.

    General Counsel & Compliance:

    + Serve as the primary point of contact for legal advice and counsel to the Chief Executive Officer, Executive Management, and all governing Boards. Provide review and approval of all motions and resolutions considered by the governing Boards. Implement appropriate actions to review compliance by the Chief Executive Officer, Executive Management, and all Directors with the Energy Northwest Code of Ethics. Maintain knowledge of, and ensure Energy Northwest compliance with, federal and state statutes, regulations, and court decisions. Maintain Compliance Program (GBP-LEG-04) and NERC Compliance Program (GBP-LEG-05).

    + Protect Energy Northwest’s interests by initiating or defending Energy Northwest in lawsuits or administrative hearings with a risk equal to or less than $250,000; refer litigation with greater risk to the Chief Executive Officer for action. Direct the conduct of said litigation by in-house legal staff or retained counsel. Serve as the registered agent for service of process for Energy Northwest. Represent Energy Northwest in the legal community, as appropriate.

    + Apply and support the application of sound leadership principles and techniques to ensure the maintenance of a compliant and ethical culture across all of Energy Northwest and demonstrating an expectation that Energy Northwest core values be continually applied in day-to-day activities. Maintain the Code of Ethics (GBP-LEG-01) and Code of Ethics for Governing Board Members (GBP-LEG-02). Work to support the Energy Northwest vision, strategic objectives, and initiatives, helping to eliminate organizational barriers that limit our successes.

    + Provide executive-level review and oversight of diverse contract negotiations, leases, waivers, releases, financing documents and other documents on behalf of Energy Northwest.

    + Provide oversight and guidance regarding all Corporate Governance Department budgets, overall expenditures and staffing plans, including litigation and transactional matters. Review and act upon legal invoices less than or equal to $500,000 and settlement claims less than or equal to $250,000; refer greater expenditures to the appropriate delegated authority under Delegation of Authority—Financial Matters Chief Executive Officer Re-Delegation for action.

    Executive Leadership Team Member:

    + Serve as an engaged, collaborative, and advisory member of the executive leadership team. Participate in development of long-term agency vision, mission, strategy, and budgets. Advise other executive leaders on compliance and regulatory factors with a solution-oriented approach to address challenges.

    + Serve as Chair, participate in and provide legal and compliance oversight of Energy Northwest Steering Committees, Executive Board Committees, and other committees as appropriate.

    + Engage with industry advocacy groups.

    + Identify strategic opportunities and support new business initiatives and other duties as assigned.

    + Support the Emergency Response team (ERO) and refueling outages as needed.

    REQUIRED EDUCATION AND EXPERIENCE

    + A Juris Doctor degree from an accredited law school and a current license to practice law in the State of Washington or the ability to obtain license through WSBA Admission by Motion within 9 months.

    + A record of continual learning and training.

    + A minimum of 10 years as a licensed attorney.

    + A minimum of 10 years of progressive management/leadership experience.

    + Minimum of 10 years of experience managing litigation of complex and/or previously untested areas of law.

    + Highly developed aptitude and skilled demonstration of the Core Values, Leadership/other Competencies identified in the Abilities/Skills section of this position description.

    + Preparing and delivering oral presentations to Executive Board/Board of Director-level and to internal/external organizations.

    Pay Range

     

    $300,000.00 - $400,000.00 Annual

    Midpoint:

    $350,000.00

     

    Typically, selected candidates are hired between the minimum and midpoint of the range, based on applicable experience and qualifications, market rate, internal equity, and budgetary allowances.

     

    Offers will be negotiated based on each candidate's qualifications.

     

    Incentive Compensation

     

    This role may be eligible to participate in our annual incentive plan. Incentives are earned based on employee performance against defined metrics and company goals.

EN offers three retirement programs to qualifying employees including a matching 401(k) deferred compensation plan, the Washington State Pension Plan (PERS), and a 457(b) savings plan. Qualifying employees will also accrue 160 hours of personal time per year and nine paid holidays throughout the calendar year.
