Established software company has an immediate opening for a Corporate Paralegal! This Corporate Paralegal will join a growing legal team and report to the General Counsel. As a Corporate Paralegal with this organization, you'll assist with contract administration, stock and equity administration, and legal operations. This role involves working closely with internal stakeholders to manage legal documentation, contracts, and compliance-related tasks. The position is remote so candidates across the US are encouraged to apply but must have flexibility to work in Pacific Time as needed. The ideal candidate will have 5+ years of corporate paralegal experience working with contracts and stock administration in the technology industry.
Responsibilities:
• Review, manage, and process a high volume of NDAs, ensuring compliance with company standards and providing updates to stakeholders.
• Collaborate with internal teams and counterparties to redline and finalize agreements efficiently.
• Triage and support the administration of sales, purchase, and licensing contracts to facilitate smooth operations.
• Oversee and manage the company’s stock option and equity program through Carta, ensuring accuracy and compliance.
• Handle legal ticketing requests related to various projects, ensuring timely progress and effective communication among team members.
• Assist with maintaining legal and compliance records, ensuring documentation is organized and up-to-date.
• Serve as a key point of contact within the legal team, fostering clear communication with internal and external partners.
• Support the legal team in other administrative and operational tasks as needed.
Requirements • A minimum of 5 years of experience in a corporate paralegal or similar role, preferably within the technology industry.
• Strong expertise in contract administration, including reviewing and redlining NDAs and other legal documents.
• Familiarity with legal ticketing systems and the ability to triage and prioritize tasks effectively.
• Experience managing stock administration and equity programs, with proficiency in Carta being a significant advantage.
• Exceptional communication skills, with the ability to interact professionally with stakeholders at all levels.
• Strong organizational skills and attention to detail, ensuring accuracy in all legal operations.
• Ability to work independently and handle multiple tasks in a fast-paced environment.
• Flexibility to work remotely while being available during key time zones, as required.
