Description
Corporate paralegals assist the corporate legal team and interface with Board of Director-level projects. Core projects include preparing corporate governance documents, coordinating logistics for quarterly board meetings and annual owners meetings, assisting in mergers & acquisitions and major refinancing activities, conducting legal research, assisting senior lawyers on all aspects of litigation and investigations matters, and coordinating progress on inter-departmental projects. Corporate paralegals will work with independent auditors in connection with annual audits/quarterly reviews and reporting and related corporate governance functions. Additionally, they will interface with and assist all staff attorneys in connection with corporate, benefits, employment and other special projects.
Corporate paralegals at Revlon are integrated into high-level work from the first week they arrive. Under the guidance and support of senior-level executives, this position is designed to give candidates an opportunity to dive deeply into the world of corporate law and gain a robust, hands-on experience. This corporate paralegal position focuses on domestic and international corporate law, corporate governance, strategic transactions, litigation and investigations and also includes exposure to real estate.
Revlon prefers candidates that have experience as a corporate paralegal.
Responsibilities:
+ Drafting and compiling of all Board of Directors & Committee meeting materials (e.g., meeting agendas and minutes, which are required on a timely basis for internal and external audit purposes)
+ ALL preparation and logistical coordination with directors regarding all Board and Committee meetings and most other affairs that pertain to the Board (e.g., coordination of director signatures on time-sensitive legal documents that are required for projects such as corporate refinancings, new executive hires and other processes of an expedited nature)
+ Independently managing the corporate obligations & housekeeping for all of Revlon’s global subsidiaries, which is an essential corporate function that covers, among other things: (i) maintaining compliance/ensuring proper disclosures to HQ from global subsidiaries; (ii) refinancing transactions where one or more of our subsidiaries is a party; (iii) acting as a resource for all subsidiary directors; and (iv) implementation of all international GM/financial controller and power of attorney changes in accordance with local requirements.
+ Work with in-house and outside counsel on initial case assessments and factual investigations; supporting efforts to respond to discovery requests, including outreach to custodians and data collection; and maintaining case files and tracking relevant docket developments
Qualifications:
The position requires a candidate who is detail-oriented, collaborative, organized, eager to learn the law, flexible, and excited to handle multiple priorities simultaneously. We’re a small team at Revlon and our best-performing corporate paralegals are those who operate independently (but seek guidance when in doubt), capably exercise independent discretion and judgment, and work well with a variety of constituents, including high-level executives and outside law firms. Effective business communication skills delivered orally and in writing are a must. Additionally, candidates should demonstrate:

Education & Experience:
+ Bachelor’s Degree
Minimum Years Experience Required:
+ 2-3 years of applicable experience
