This Corporate Governance Analyst position is based in Houston, TX and is part of the Corporate Governance department in the Law Function.
Overview:
This position reports to the Assistant Secretary and Senior Managing Counsel, whose team assists with advising the Board of Directors and senior management on corporate governance and securities law matters, including research and analysis of corporate governance issues, preparation of proxy statement and other securities filings, planning and executing the annual meeting of stockholders, as well as other special projects and processes.
This position provides support on research and analysis of corporate governance issues and the development, production, and distribution of the annual proxy solicitation materials, the proxy solicitation processes, and the implementation of the annual meeting of stockholders.
Responsibilities for this position may include but are not limited to:
Corporate Governance Issues
+ Conduct research and analysis with respect to governance issues, including governance trends, governance ratings, stockholder proposals, and positions of key institutional investors and proxy advisors.
+ Work with corporate governance rating agencies, including monitoring positions of key institutional investors and recommending governance improvements as appropriate.
+ Assist in the preparation of meeting materials for the Board & Board Nominating and Governance Committee.
+ Provide backup support and review of Section 16 filings, quarterly dividend payment reconciliations, and non-financial 8-K filings.
+ Assist in updates to stockholder engagement materials and the Corporate Sustainability Report in relation to Board and Governance topics.
Proxy Materials Development, Production & Distribution and Proxy Solicitation Process
+ Assist with drafting and editing of proxy statement and additional solicitation materials.
+ Develop project plan to draft, file, and distribute proxy materials and ensure efficient execution of the plan.
+ Assist in development of the budget for the proxy materials and track costs.
+ Coordinate the selection of vendors and manage vendors effectively.
+ Assist with process for responding to stockholder proposals, including tracking key dates/deadlines, and drafting proposal deficiency letters.
+ Assist with tracking and calculating Director and Officer perquisites for proxy statement.
Annual Stockholders' Meeting
+ Develop project plan and assist with execution of all phases of the Annual Meeting of Stockholders, working with other departments.
+ Execute plan on time and on budget maintaining excellent standards.
+ Coordinate preparation and production of meeting materials, briefing book for management, meeting facilities, and rehearsals.
+ Assist with developing proxy solicitation strategies.
Required Qualifications:
+ Bachelor’s degree
+ Strong analytical, critical thinking and problem-solving skills, including the ability to identify, resolve and/or escalate issues and potential liabilities in a timely manner
+ Ability to maintain high quality performance with varied deadlines and competing priorities in a fast-paced work environment
+ Strong organizational, analytical, proofreading, editing and research skills
+ Strong attention to detail and accuracy
+ Demonstrated communications skills (both oral and written), including at the executive level
+ Strong interpersonal skills and collaborative mindset
+ Self-starter who is adept at working in a team environment and partnering with management, business partners, in-house counsel, outside counsel and staff
+ Expert proficiency in Microsoft Excel, along with strong skills in the entire Microsoft Office suite of tools
+ The successful candidate must be acutely aware of the confidential, and often privileged, nature of the information involved and diligently maintain confidentiality and/or privilege
Preferred Qualifications:
+ 5+ years’ experience as an analyst or paralegal in the areas of corporate governance
+ Corporate Governance research and writing experience
+ Capable of working independently while also providing support to the team on various tasks
+ Proactive in identifying and addressing problems, with a strong commitment to process improvement
Relocation Options:
Relocation **may be** considered within Chevron parameters.
