Immediate opportunity to join an entrepreneurial and rapidly growing San Francisco-based holding company that specializes in acquiring and operating franchised businesses. As Corporate Development Manager at Flynn Group LP, the candidate reports directly to the Director of Corporate Development and will work closely with Corporate Development Associates to assist in all elements of the investment process including acquisition modeling, due diligence, business and market analysis, deal negotiation, new growth segment research, and capital markets transactions. The Corporate Development Manager will have direct access to the CEO and CFO, working closely with them in all aspects of the business.

Corporate Development Manager
The position will be an integral part of the six-person corporate development team, tasked with executing the company’s acquisition growth strategy through: 1) deal execution including underwriting, negotiation, diligence, transition and closing; 2) strategic financing across all parts of the capital structure; and 3) financial modeling, planning, and data analysis. The Corporate Development Manager will also assist in preparing deep-dive research into new growth segments This role will be an opportunity to work very closely with senior company executives, private equity sponsor representatives, banks, and other capital providers.
Specific tasks will include, but are not limited to:
Acquisition Execution
+ Support and take a lead role in the acquisition execution process from underwriting, negotiation, diligence, and transition to closing
+ Oversee financial analysis for acquisition targets, which includes analyzing unit-level and consolidated financial statements and assessing the financial integrity of target companies
+ Coordinate the due diligence process between accounting, finance, human resources, IT, legal and purchasing departments for acquisitions
+ Assist in coordinating all aspects of acquisition integration
+ Conduct optimal capital structure scenario and run returns analyses
Capital Markets
+ Work with FG executives and lenders to amend and raise debt capital through new and existing credit facilities
+ Review, understand and help negotiate credit agreements across a variety of credit facilities
+ Assist in analyzing and executing capital raises in alternative capital structures, such as mezzanine debt and preferred equity
+ Manage refinancing and recapitalization processes, including preparation of investor materials, pro forma EBITDA analysis, and tracking and organizing responses for lender and investor due diligence
+ Develop and maintain complex forecast and valuation models for Flynn and its partners in coordination with our FP&A team
Corporate Strategy
+ Organize and prepare deep-dive analysis and presentations on potential new growth segments to identify new brands and businesses
+ Assist in the preparation of presentation materials for the Board of Directors, lenders and equity investors
Qualifications
+ Minimum 4 years in investment banking, private equity, consulting, corporate development, or similar finance experience
+ M&A execution experience, with a strong preference for consumer M&A
+ Experience in negotiating and understanding credit agreements
+ Advanced financial modeling and valuation skills
+ Solid understanding of financial statements and accounting standards is required
+ A good understanding of capital structure alternatives
+ Above all else, a highly organized self-starter with a positive, team-oriented attitude, and a good sense of humor. You must be excited about thriving in an entrepreneurial and fast-paced environment!
