A day in the life of a Associate Counsel, Commercial at VF looks a little like this.
As Associate Counsel, Commercial (Americas), you will handle a variety of engaging legal issues, working alongside an accomplished team around the globe, enabling some of the world’s most beloved and iconic brands. You will make a difference for our VF consumers and employees by facilitating critical business initiatives in the areas of wholesale, direct-to-consumer, and indirect procurement. The Associate Counsel, Commercial AMER, will work with a wide range of VF teams as well as exciting brands like Vans®, The North Face®, Timberland®, and Dickies®, across the Americas’ region.
The primary responsibility of the Associate Counsel, Commercial (Americas) is to provide expert legal guidance and support to ensure VF business activities and operations align with all applicable laws and regulations. This position demands a robust understanding of regulatory compliance, contract negotiation, risk management, sales and distribution, and litigation. Our ideal candidate is a proactive problem solver and strategic thinker with exceptional communication skills and a strong ethical foundation.
In this dynamic role, you will work closely with various departments, including the Americas’ Commercial teams, Indirect Procurement, Supply Chain, Finance, and Human Resources, providing legal insights that drive informed business decisions and safeguard our organizational interests. Whether you are negotiating contracts, managing litigation, or advising on regulatory and commercial matters, your contributions will be critical to our ongoing success and sustainability.
The Associate Counsel, Commercial AMER, position reports to the Associate General Counsel, Commercial, and does not have direct reports.

+ Provide legal advice and guidance to the Commercial teams and other VF functions.
+ Draft, review and negotiate contracts and other legal documents.
+ Ensure compliance with local, state, and federal laws and regulations.
+ Manage and advise on regulatory strategy and compliance, including state-specific guidance.
+ Identify and manage legal risks, including developing and implementing risk management strategies.
+ Assist with litigation matters, including managing litigation, briefing outside counsel.
+ Conduct legal research and stay updated on changes in anti-trust laws that may affect the company.
+ Develop and implement legal trainings for commercial clients on contract negotiations, antitrust risks, commercial documentation and other matters as needed.
+ Develop and update company policies, including employee handbooks and compliance policies.
+ Proactively identify and solve legal issues, offering practical and creative solutions.
+ Communicate legal information clearly and effectively to both legal and non-legal audiences.
What do you need to succeed?

The foundation skills you will need in this position are:
+ Juris Doctor (JD) degree from an accredited law school.
+ Admission to the state bar and in good standing.
+ A minimum of 3-5 years of experience in a legal role, preferably within a corporate setting
+ Strong background in contract law, regulatory compliance, sales and distribution
+ Proficiency in managing complex legal projects and transactions.
+ Exceptional negotiation, communication, and interpersonal skills.
+ Experience in a specific industry relevant to the company’s operations.
+ Proven ability to work independently and as part of a team.
+ Strong analytical and problem-solving skills.
+ Demonstrated ability to manage multiple priorities and meet deadlines.
+ Juris Doctor (JD) degree from a recognized institution.
+ License to practice law in the relevant jurisdiction.
+ Excellent knowledge of corporate, contract, and regulatory law.
+ Strong legal drafting and documentation skills.

Hiring Range** **:
$124,000.00 USD - $155,000.00 USD annually
**Incentive Potential** : This position is eligible for additional compensation awards that may include an annual incentive plan, sales incentive, or commission potential. Specific details of the additional compensation eligibility for this position will be provided during the recruiting and interview process.
