Description

We are looking for an experienced Associate General Counsel to join a leading organization in the manufacturing industry, based in Philadelphia, Pennsylvania. This role offers the opportunity to provide strategic legal counsel on a variety of corporate, commercial, and regulatory matters. The ideal candidate will have a strong background in transactional law, compliance, and litigation management, with a focus on supporting business objectives in a fast-paced environment.

Responsibilities:

• Draft, review, and negotiate a wide range of commercial agreements, including NDAs, procurement, vendor, and employment contracts.

• Provide legal guidance on corporate transactions, including mergers, acquisitions, and entity formation.

• Advise on regulatory compliance matters, ensuring adherence to local, state, and federal laws.

• Oversee litigation strategy and coordinate efforts with outside counsel to manage legal disputes effectively.

• Collaborate with internal teams to address labor and employment law issues, such as workplace policies and employee relations.

• Conduct legal research and analysis to support business initiatives and mitigate risks.

• Develop and implement corporate governance policies, ensuring alignment with strategic goals.

• Manage complex business transactions and provide practical legal advice to support decision-making.

• Support the organization in maritime and transportation law matters, including shipping contracts and regulatory issues.

• Lead internal investigations and ensure compliance with ethics and risk management policies.

Requirements • Juris Doctor (J.D.) degree from an accredited law school.

• Active membership in the bar of at least one U.S. jurisdiction, with preference for Pennsylvania and/or New Jersey.

• Minimum of 5 years of experience in corporate, commercial, or transportation law, preferably in an in-house or law firm setting.

• Demonstrated expertise in drafting and negotiating complex contracts and agreements.

• Strong knowledge of regulatory compliance and corporate governance practices.

• Proven ability to manage litigation and work effectively with outside counsel.

• Experience advising on labor and employment law matters.

• Excellent communication, analytical, and problem-solving skills, with a focus on delivering business-oriented legal solutions.
