Job Summary:
This position is responsible for paralegal, contracts administration, and administrative support for General Counsel by assisting Senior Paralegal/Contracts Administrator and providing assistance to other departments, as needed. Responsibilities to include: Preparation and administration of legal documents to input into electronic records-keeping system, correspondence, reports, contracts; interaction with all Company locations globally & external counsel, and coordination of corporate records. This position will also assist with managing the Company’s agreements & corporate governance materials, as well as, its non-disclosure agreement process and contract databases.
Essential Functions*:
+ Preparation and administration of legal documents under supervision of General Counsel and/or Senior Paralegal/Contracts Administrator. Draft correspondence and other written materials. Edit/proof documents and reports for accuracy, format, and organization.
+ Review and assist with managing the Company’s non-disclosure agreements; distribution agreements; visitor policy; assists with agreements concerning all departments.
+ Responds, in coordination with General Counsel and/or Senior Paralegal/Contracts Administrator, to inquiries regarding contract obligations and revisions.
+ Assists with maintaining the company’s contract management database.
+ Assist with maintaining the Company’s corporate governance records for parent corporation Ultralife and its subsidiaries.
+ Assist with maintaining records of Company’s leases, assets and insurance certificates.
+ Review corporate files and research in response to requests for information.
+ Assists with maintaining and/or creating files or record-keeping for various applications and foreign authorities. Organizes files for corporate legal matters and maintains files of legal documents, or other materials.
+ Other duties, including executive administrative assistance as necessary or assigned.
+ Travel in this role is unlikely.
Education / Training / Skills / Experience:
+ Ideally, certificate of completion or a degree from an approved paralegal program or post-secondary institution with three (3) to five (5) years of office, admin, or legal experience; or a baccalaureate degree (business related discipline preferred) with three (3) to five (5) years of law related experience. Highly organized individual is essential.
+ Ability to properly handle materials that are highly sensitive & confidential, & maintain confidentiality.
+ General knowledge of legal terminology & procedures very helpful.
+ Ability to establish & maintain effective working relationships with others.
+ Exceptional ability to communicate effectively orally & in writing, in English.
+ Ability to organize & prioritize workload, & address multiple tasks/deadlines.
+ Ability to maintain calm & be productive under time deadlines.
+ Ability to work independently & be self-starting.
+ Expert knowledge of administrative & clerical procedures & systems such as MS Word, PowerPoint, records management systems, file organization and maintenance, preparation of standard forms &other typical office procedures & terminology.
+ Knowledge of government contracting procedures &export control a plus.
+ Notary public, or willingness to become one is preferred.
Physical Requirements:
Office work environment. The employee must occasionally lift and/or move up to 10 pounds. Specific vision abilities required by this job include Close vision. While performing the duties of this Job, the employee is regularly required to sit and talk or hear. The employee is frequently required to use hands and fingers, handle, or feel. The employee is occasionally required to stand and walk or move about independently.
