Purpose:
The Director of Legal and Compliance is responsible for overseeing the company’s legal, regulatory, and risk management functions. This role supports transactions, litigation, regulatory filings, and contract management while leading enterprise-wide compliance initiatives. Driving process optimization, implementing scalable legal solutions, and fostering a culture of continuous improvement and legal excellence, especially within the context of federal and commercial contracting environments.
Essential Functions:
Legal Operations & Support
+ Leads enterprise legal projects and investigations, including coordination with outside counsel, legal holds, discovery, case strategy, and monitoring of legislative and regulatory changes to ensure internal alignment.
+ Track and report on legal and litigation matters, review and approve legal invoices, and maintain organized records.
+ Liaise with internal teams and outside counsel to ensure clear communication and alignment on legal issues.
+ Provide strategic guidance on subpoenas, pre-litigation matters, and government or third-party inquiries.
Compliance, Risk & Governance
+ Ensure compliance with applicable laws, regulations, and industry standards.
+ Oversee risk mitigation strategies and serve as primary liaison with audit agencies and regulatory bodies.
+ Design and oversee enterprise-wide risk and audit programs, ensuring proactive identification, mitigation, and remediation of compliance gaps.
+ Develop and maintain corporate governance frameworks, policies, and processes.
+ Maintain and manage corporate licenses and registrations (e.g., business, professional, SAM.gov).
+ Design and deliver compliance training programs to internal stakeholders across departments.
+ Assist and advise the Natives of Kodiak, Corporate SBA 8(a) Compliance Manager.
Contracts & Transactional Support
+ Draft, review, and negotiate a high volume of federal and commercial agreements (NDAs, MSAs, subcontracts, etc.).
+ Oversee the full contract lifecycle, from initiation through execution and renewal.
+ Support CLM tool selection and implementation; develop templates, playbooks, and standardized procedures.
+ Collaborate with internal stakeholders and external parties to ensure contract alignment and mitigation of risk.
+ Provide guidance on contract terms, regulatory compliance, FAR/DFARS flow-downs, and risk mitigation.
Leadership & Strategic Initiatives
+ Lead and mentor the Legal and Compliance team across multiple functions, including risk, contracts, and policy development.
+ Partner with executive leadership to report on KPIs and the impact of compliance initiatives.
+ Identify and implement best practices and scalable solutions to improve efficiency and service delivery.
+ Collaborate with proposal and capture teams to ensure regulatory-compliant and responsive bid submissions.
Education/Certifications:
+ Bachelor’s degree in law, business, or related required
+ Completion of a Juris Doctor (JD) is required
Required Qualifications:
+ 15-20 years of progressive experience in government contracting and regulatory compliance, including enterprise-level responsibilities.
+ Strong commitment to internal and external client service, with a track record of building and sustaining effective business relationships.
+ Exceptional contract drafting and negotiation skills.
+ Strategic thinker with the ability to anticipate risks, resolve issues proactively, and provide sound legal guidance.
+ Demonstrated professionalism, confidence, and assertiveness in high-stakes and complex situations.
+ Highly organized and adaptable, with excellent interpersonal skills and the flexibility to manage shifting priorities.
+ Self-motivated, decisive, and capable of working independently with sound judgment.
