    # Job Summary:

    Under the overall supervision of the Manager of Legal - Corporate, the Senior Counsel will usually work on transactions independently with other Functional personnel. Senior Counsel will retain legal services from outside counsel when necessary.

     

    The legal work associated with the position is typically complex with visibility to executive management. Excellent attention to detail is a must. The issues to be addressed are often unique and require a high order of original and creative legal analysis for their resolution. The role also requires confident partnership with business functions, providing strategic input beyond mere legal advice. A commercial and pragmatic approach to matters is critical.

     

    The successful candidate will be flexible in their work scope and prepared to research and advise on corporate matters with which they may have less familiarity. They should also be confident in prioritizing workflow, to assure deliverables are met even when unexpected situations arise.

    # Major Responsibilities:

    Provide leadership on legal and commercial issues involving the Bechtel group of companies, including:

    + Advise regarding formation of international subsidiaries and branches, including cross-functional considerations (such as tax, treaty, licensing etc.).

    + Assist in providing legal support to various corporate functions on a wide range of issues.

    + Negotiate corporate contracts as necessary.

    + Manage invoicing and budget for external service providers and outside counsel.

    + Support management approval process regarding entities, appointments and powers of attorney.

    + Advise Business Development, Operations, and Functional Management on internal protocols and procedures to ensure that compliance is maintained.

    + Provide support for strategic projects.

    + Research and advise on developing corporate laws, both domestic and international, including, for example, corporate transparency requirements, required disclosures by private companies, etc.

    # Education and Experience Requirements:

    + Bachelor of Laws (LL.B.) or Juris Doctor (JD) degree.

    + Minimum five years’ work experience in corporate department of large international law firm,.

    + Minimum 15+ years’ PQE

    + Must hold a current license to practice law in the United States

    # Required Knowledge and Skills:

    + Significant experience with a corporate in-house legal team for a global private company.

    + Proficiency with Diligent, GEMs or other entity management software, iManage (or similar document management system), MS 365 and SimpleLegal (or similar e-billing software).

    + Excellent oral and written communication skills

    + Well-honed advisory, negotiation and drafting skills

    + High degree of business acumen and a strategic approach

    + Ability to work effectively with people at all levels within the company

    + Capable of supervising work of other attorneys and/or paraprofessionals

    + Must be prepared to travel on an occasional basis
