Description

Software company based in the San Francisco Bay Area has an immediate opening for a Commercial Counsel! This Commercial Counsel will join the legal team and report to the Associate General Counsel. As a Commercial Counsel with this organization, you'll be responsible for supporting sales team to negotiate SaaS agreements, among a variety of other contracts, and support the Chief Privacy Counsel with privacy related functions. The ideal candidate will bring expertise in SaaS transactions and data privacy with additional language skills in Spanish and Portuguese being a significant advantage. This role is remote so candidates from across the United States are encouraged to apply!

Responsibilities:

• Negotiate and draft SaaS agreements, master service agreements (MSAs), data processing agreements (DPAs), and other sales-related contracts.

• Collaborate with the sales team to manage and finalize contractual agreements.

• Handle operational tasks, including responding to data subject requests, subpoena requests, and drafting NDAs and referral agreements.

• Assist the Data Privacy Officer in implementing privacy policies and procedures, ensuring compliance with GDPR and other data protection regulations.

• Support the legal team with reporting on data usage rights and other compliance-related matters.

• Provide legal guidance on a range of commercial transactions, ensuring alignment with company objectives.

• Stay updated on legal trends, particularly in the SaaS and AI industries, to provide strategic advice.

• Roll up your sleeves to handle detailed legal work, demonstrating a hands-on and adaptable approach to problem-solving.

• Foster strong relationships with internal business units, providing calm and business-oriented legal support.

Requirements

Qualifications:

• Licensed attorney in any jurisdiction in the US with at least 5 years of experience with commercial transactions

• Proven expertise in negotiating and drafting SaaS contracts and other commercial agreements.

• Strong knowledge of data privacy laws, including GDPR, and experience supporting data privacy initiatives.

• Fluency in Spanish is required; proficiency in Portuguese is preferred.

• Ability to work independently in a fast-paced environment, managing multiple priorities effectively.

• Strong interpersonal skills with a collaborative and business-focused mindset.
