Job Title: Legal Associate / Paralegal - Corporate Governance Entity ManagementJob Description
Join our dynamic Aerospace Entity Management team within the Legal Contracts and Compliance department. As a Corporate Governance Paralegal in Entity Management, you will play a pivotal role in managing legal entities globally. This remote position allows you to work from anywhere in the US, and you will work closely under the supervision of our Legal Contracts and Compliance attorneys.
Responsibilities
+ Draft, review, and revise corporate governance documents for U.S. and non-U.S. legal entities, including board and shareholder resolutions, annual general meetings, by-laws, certificates of incorporation, proxies, and powers of attorney.
+ Manage updates to directors, officers, and addresses for global subsidiaries and branches.
+ Support Finance, Treasury, Tax, and other groups with special projects like restructurings, recapitalizations, and treasury agreements.
+ Arrange for document notarizations and apostilles, and obtain good standing certificates and similar documents.
+ Timely update and maintain the subsidiary and affiliate database system (GEMS).
+ Maintain minute books, Director/Officer lists, shareholder registries, and corporate records.
+ Analyze processes, recommend improvements, and implement policies and procedures.
+ Respond promptly to internal and external information and document requests.
+ Assist with M&A and post-acquisition integration activities.
+ Prepare delegations and documents as requested by businesses and functional groups.
+ Prepare and/or review government filings for subsidiaries and branches, including annual U.S. state reports.
+ Assist with other projects, including administrative tasks like document storage and data updates.
+ Liaise with and negotiate alternative fee arrangements with outside law firms, review invoices, and submit for approval.
Essential Skills
+ Strong project management skills.
+ Expertise in corporate governance.
+ Proficiency in Microsoft Office Suite.
Additional Skills & Qualifications
+ Bachelor's degree with 8 years of relevant experience, or an Advanced Degree with a minimum of 5 years of experience, or 12 years of relevant experience in the absence of a degree.
+ Experience in an international corporation or law firm overseeing global legal entities is preferred.
+ Notary Public appointment in State/County of hire, or willingness to obtain.
+ Strong computer skills, including prior database experience.
Work Environment
This role is fully remote, allowing you to work from anywhere in the United States. You will utilize various technologies and equipment to collaborate with global teams and manage a diverse portfolio of legal entities.
Pay and Benefits
The pay range for this position is $35.00 - $40.00/hr.
