CU Boulder's Office of Information Technology (OIT)encourages applications for an IT Vendor Contract Specialist to join the Information Technology Asset Management team and support the Information Technology Asset Management program (ITAM)!The ITAM program encompasses OIT services and some campus software lifecycle activities. This program provides several critical customer-facing services to the university including a comprehensive software catalog, computer equipment standards, knowledge resources, internal chargeback and cost-sharing models, internal software sales, life cycle operations, and data to support enterprise business decisions. The ITAM program develops, implements, and guides processes to support all program functions; and administers technical tools to track, license, and distribute software and hardware.The IT Vendor Contract Specialist partners closely with the budget/finance and procurement teams as well as operational and service teams within OIT and the larger CU Boulder campus to ensure contracts are accurately reviewed so that the contract terms meet the needs of the purchasing department and the risk tolerance of the University. This position works closely with the CU Procurement Service Center, the CU Boulder Campus Controller's Office and legal counsel. It reports to the program manager for IT asset management and is a critical member of the ITAM team because of the key role it plays within CU Boulder's Office of Information Technology and the larger campus.

What Your Key Responsibilities Will Be
_Contract Review and Drafting_
+ Crafting, drafting, and editing contracts such as MSAs, Software as a Service agreements, non-disclosure agreements, and similar documents associated with the purchase and use of hardware, IT systems, services, and software agreements. Examples of day-to-work include reviewing, drafting, correcting as required, bids/contracts/agreements, and collaborating with legal counsel, the Procurement Service Center, and the Controller's Office to draft and modify licensing and service contract terms in accordance with laws, policies, customer specification, and legal requirements.
+ It is expected that this position will manage 20-24 contracts or agreements at any given time.
_Vendor Contract Process Development and Campus Consulting_
+ Work alongside procurement colleagues to assist with developing statements of work (SOWs) and understand any current requests for information (RFIs), requests for quotation (RFQs), and requests for proposal (RFPs) that are in the pipeline.
+ Establish contract management objectives, procedures, templates, and workflow processes for vendor contracts and result schedules. Maintain a contract management database that contains all completed contracts, as well as contracts that are under development but are not yet active. Moreover, track obligations, results, and contract change notes. Manage and control access to documents as appropriate.
+ Work with legal representatives to develop and insert appropriate legal protections in contracts, as warranted.
+ Work with all teams (security, compliance and tax, HR, finance, etc.) to ensure that vendors are performing in accordance with existing requirements and regulatory obligations.
+ Develop a knowledgebase of negotiating strategies, standard processes, and negotiation personnel and teams. Make improvements to processes, procedures, workflow, and organizational structures for contract management.
+ Coordinate commercial and financial arrangements with vendors to include billing, invoicing, performance incentives and remedies, and internal chargebacks, where appropriate.
+ Advise campus partners seeking expert advice and guidance regarding IT contracts and bids.
+ Work with vendors and key partners to establish clear contract change control processes.
_Vendor Relationship Management_
+ Develop positive relationships with IT managers, service owners, and IT procurement. This will help to support university objectives, influence key partners (CIO, CFO, CTO, etc.), and jointly develop strategic sourcing strategies.
+ Establish governance to be applied, particularly during the contracting process. This will identify and limit points of contact for vendors and clarify rights of authority for decision making.
+ Handle internal contract-related complaints or disagreements from the business or other internal collaborators.
_Vendor Contract and Market Insight_
+ Understand relevant market trends and vendors. Track, gather, and analyze market and industry data.
+ Effectively communicate a clear and concise contract overview (summary of key contract terms, risks, opportunities, and service delivery guidelines) to key customers, and provide clarity on contract elements when required.
+ Be responsible for ensuring that pricing is competitive by commissioning benchmarks as needed during the lifetime of the deal.
+ Manage contract review meetings to ensure delivery against objectives and contract budgets. Develop regular reports on contract achievements, execution, and risk, and inform internal customers, vendors, and management of activities and progress through regular written and verbal communication.
What You Should Know
+ The work schedule is Monday-Friday, 8 am - 5 pm.
+ This position is in a hybrid work situation, working primarily remotely. This role may infrequently be expected to come on-site, 1 - 2 times per year. Applicants from outside of Colorado are encouraged to apply.
What We Can Offer
+ Salary: $107,814 - $114,000.

What We Require
+ Bachelor's degree from an accredited institution in a related field. A combination of education and/or related experience may substitute for the degree on a year for year basis.
+ Five or more years of professional experience with contract review and transactional drafting at an IT software, hardware, or services company or within/on behalf of an IT department/office in a company or organization.
+ A Master's degree or Juris Doctor degree can substitute for experience of the required experience listed above.

+ Ability to prepare clear, concise, and accurate correspondence, reports, and other written materials including summarized reports that support decision-making.

+ Track record of being proactive and diligent with the ability to complete tasks under pressure and establish plans to meet set timelines on an individual and team level.
+ Track record of staying organized, maintaining clear priorities, and exercising sound, independent judgment within areas of responsibility.
+ Ability to apply critical thinking skills in rendering proactive solutions to various issues.
+ Able to collaborate effectively in a hybrid work environment with diverse groups of people with a demonstrated willingness and desire to listen and understand others.
+ Understanding and familiarity with federal, state, and local laws, regulations, and guidelines governing purchasing, contracting, and IT usage activities at a state-funded public institution of higher education.
+ Expert-level experience with the Microsoft Office Suite and document storage and sharing services.
