Description We are looking for an experienced Contracts Counsel to join our team on a long-term contract basis. In this role, you will focus on drafting, reviewing, and negotiating a wide range of commercial agreements while ensuring compliance with data privacy regulations, intellectual property laws, and data security standards. This position offers the opportunity to collaborate with cross-functional teams and play a critical role in managing legal risks and protecting the company’s interests.
Responsibilities:
• Draft, review, and revise various commercial agreements to ensure clarity, compliance, and alignment with company standards.
• Negotiate contract terms and conditions with vendors, partners, and stakeholders to secure favorable outcomes.
• Collaborate with internal teams such as legal, IT, and sales to develop contracts that meet regulatory and operational requirements.
• Ensure data security and privacy compliance by integrating relevant regulations into contractual agreements.
• Address intellectual property considerations, ensuring proper protections are in place within contracts.
• Identify and mitigate legal risks, providing sound recommendations to support business goals.
• Maintain up-to-date knowledge of applicable laws and industry standards to ensure contract accuracy.
• Support the organization in resolving contractual disputes and providing counsel on legal matters.
• Participate in the development and improvement of contract templates and processes to enhance efficiency. Requirements • Juris Doctor (JD) degree from an accredited law school.
• Active license and good standing with at least one U.S. state bar.
• Minimum of 3 years of experience in drafting, negotiating, and reviewing contracts.
• Strong knowledge of data privacy regulations such as GDPR and their application in contractual terms.
• Expertise in intellectual property laws and best practices for protecting IP in agreements.
• Familiarity with data security standards and their integration into contracts.
• Excellent analytical and negotiation skills with a detail-oriented mindset.
• Effective communication and collaboration abilities to work with cross-functional teams.
