Description

We are looking for a skilled Attorney with expertise in corporate finance, securities, and mergers and acquisitions to join our team on a contract basis. This role involves handling complex financial transactions, regulatory filings, and legal processes critical to business operations.

Responsibilities:

• Provide legal support for corporate finance initiatives, including advising on and structuring financial transactions.

• Draft and review contracts, agreements, and other legal documents related to mergers and acquisitions.

• Conduct thorough due diligence to identify risks and opportunities during M& A processes.

• Prepare and submit regulatory filings, including those required by the SEC, ensuring compliance with applicable laws.

• Respond to inquiries from regulatory bodies, addressing legal and compliance concerns.

• Participate in negotiations during mergers and acquisitions to secure favorable terms for the organization.

• Analyze and interpret securities regulations, advising on compliance and strategic considerations.

• Collaborate with internal teams to ensure legal accuracy and alignment with corporate goals.

• Provide strategic guidance on complex legal matters impacting business operations.

Requirements • Must hold a valid license to practice law.

• Minimum of 5 years of legal experience in corporate finance, securities, and mergers and acquisitions.

• Demonstrated expertise in drafting contracts and legal agreements.

• Strong knowledge of SEC filings and regulatory compliance processes.

• Proven ability to conduct detailed due diligence in M& A transactions.

• Excellent negotiation skills and ability to manage complex discussions.

• Familiarity with securities regulations and corporate governance.

• Exceptional analytical and communication skills for addressing legal complexities.
