• Fractional General Counsel

    Description

    We are looking for an experienced Counsel to provide fractional General Counsel support for a corporate entity based in Santa Clara, California. This is a long-term contract position requiring expertise in commercial contracts and a strong background in technology or SaaS industries. The ideal candidate will work closely with the executive team, including the VP of Sales, and serve as the primary legal resource for the organization. This position is remote, so candidates from across the US are encouraged to apply, and requires a commitment of at least 10 hours per week. This Counsel must hold an active CA Bar license.

    Responsibilities:

    • Provide legal counsel on corporate contracts, including drafting, reviewing, and negotiating framework agreements and nondisclosure agreements.

    • Collaborate directly with the executive team to address legal matters and support business objectives.

    • Serve as the legal representative within the organization, ensuring compliance with applicable laws and regulations.

    • Conduct thorough contract redlining and revisions to safeguard the company's interests.

    • Offer strategic advice on commercial transactions and agreements within the tech and SaaS sectors.

    • Manage ad hoc legal tasks, ensuring timely and accurate responses to business needs.

    • Work a flexible schedule of 10-20 hours per week, adapting to the organization's evolving requirements.

    Requirements

    Qualifications:

    • Licensed to practice law in California.

    • Extensive experience in commercial contract negotiation, drafting, and redlining.

    • Proven background in technology or SaaS industries, with a strong understanding of industry-specific legal issues.

    • Expertise in handling nondisclosure agreements and framework contracts.

    • Ability to work independently.

    • Strong interpersonal skills to collaborate effectively with executive leadership.

    • Availability to work on a part-time basis, with flexibility to adjust hours as needed.
