Description
Robert Half Legal is partnering with a publicly traded holding company that's seeking a Senior Corporate & Securities Paralegal with at least 7-10+ years of experience to join their team. This Senior Corporate & Securities Paralegal will be the top legal representative in the company and report directly to the CFO. In this role, you will assist on managing all aspects of corporate governance, Board of Directors meetings, SEC filings, corporate maintenance, entity management, and more. This position offers a highly flexible 100% remote work from home schedule with the occasional need to come into the Chicago office. In addition, this role is paying between $110-130K plus a 10-15% bonus target and a phenomenal benefits package.
Senior Corporate & Securities Paralegal Responsibilities:
SEC Compliance & Reporting:
+ Assist in the preparation and filing of all SEC reports, including Annual Reports on Form 10-K, Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, and the annual Proxy Statement; responsible for ensuring all SEC filings are made timely
+ Manage the Section 16 reporting process (via Computershare Section 16 Senior Paralegal), including the preparation and filing of Forms 3, 4, and 5 for directors and executive officers
+ Stay current on SEC and stock exchange (NYSE) rules and regulations and advise the company on new developments and best practices
Board and Committee Support:
+ Assist in the planning and execution of meetings for the Board of Directors and its committees
+ Prepare and distribute board and committee materials, including agendas, resolutions, minutes, and presentations
+ Maintain corporate minute books and other key corporate governance records
+ Assist with the annual board and committee self-evaluation process and director onboarding
+ Responsible for annual D& O questionnaire process
Corporate Governance:
+ Assist in the development, implementation, and maintenance of corporate governance policies and procedures
+ Support the annual meeting of shareholders, including coordination with proxy solicitors and tabulation agents
+ Monitor trends in corporate governance and provide recommendations for best practices.
Subsidiary Management:
+ Maintain/update corporate compliance database (via CTAdvantage), which includes data for the companies and its directors and officers
+ Manage the formation, dissolution, and consolidation of legal entities as required
+ Maintain the corporate records for all legal entities and ensure compliance with local legal requirements
+ File state-level annual reports and franchise tax reports for all legal entities
Cross-Functional Collaboration:
+ Provide support for corporate transactions, including M& A and financing activities, as needed
+ Review and comment upon routine contract matters, including non-disclosure agreements
+ Liaise with and manage external counsel, as needed
+ Disseminate blackout notices as appropriate and liaise with regulators (NYSE, SEC, etc.), as appropriate

Requirements
+ Minimum of 7-10+ years of experience as a paralegal, preferably in corporate governance or financial services.
+ Expertise in SEC filings and compliance processes, including Forms 3, 4, 5, 10-K, 10-Q, and 8-K.
+ Strong understanding of corporate governance principles and regulatory requirements.
+ Proven ability to manage legal databases and corporate records with exceptional accuracy.
+ Experience supporting board meetings, preparing agendas, and maintaining governance documentation.
+ Ability to work collaboratively across departments and with external counsel.
+ Excellent organizational skills with attention to detail and the ability to handle multiple tasks simultaneously.
+ Strong communication skills, both written and verbal.
