Role Overview
The Senior Corporate Counsel provides direct, key support to the Company regarding corporate governance, corporate transactions (including M&A and joint ventures), financial transactions, real estate transactions, investments and other corporate transactions, and provides strategic advice to the Company on a broad range of transactional matters.
Work Arrangement
+ This is a remote position, but will require occasional travel
Responsibilities;
+ Provide critical legal support to the Company on a broad range of corporate matters, including financings, corporate governance (including subsidiary management), government affairs compliance, real estate and employee benefit plans
+ Provide legal support for growth activities including mergers, acquisitions, joint ventures, investments, partnerships and other strategic transactions through the full life cycle, including opportunity assessment, deal structuring, negotiation, due diligence and execution
+ Draft, review and negotiate various transaction documents including definitive agreements, letters of intent and ancillary documents
+ Provide strategic advice to the business development team, senior management and other internal stakeholders
+ Advise on Intercompany arrangements in an insurance Holding Company setting
+ Advise on best industry practices and trends
+ Drive timely completion of critical cross-functional work product, including communicating with and securing cooperation from directors, senior management, and other stakeholders throughout the enterprise in relation to corporate matters
+ Liaise with, and manage, outside counsel as necessary
Experience and Education
+ JD required
+ Minimum of 8 years of direct experience with related corporate matters and transactions, particularly with health insurers
Licensure
+ ;License to practice law in at least one state
Skills & Abilities
+ Exceptional attention to detail with excellent verbal and written communication skills
+ Highly organized, precise and proactive
+ Able to work independently, including formulating practical solutions
