    _This position is a hybrid in office 3 days per week position at our Brentwood TN office._

     

    The Staff Counsel drafts and reviews documents such as contracts, memorandums of law, letters and reports. Assists with vendor vetting, contract formation, review, negotiation, execution and storage of contracts on the contract management platform. Assumes responsibility for legal projects, maintains up to date entity information, including necessary certificates and licenses. Oversees vendor projects, assists with requests for proposals, and manages contractual disputes. Determines whether to outsource responsibility for legal projects to external legal counsel. Identifies and collects documents and other support responsive to requests for legal advice, guidance and other legal projects.

     

    + Evaluates and determines scope of work necessary to develop legal guidance, to establish, modify or renew contracts, and to manage other legal projects in coordination with counsel and local facility staff.

    + Conducts legal research and develops written guidance and/or training content based on legal research and analysis.

    + Renders legal advice and guidance to internal stakeholders and decision makers as coordinated by an assistant or associate general counsel.

    + Coordinates attorney representation and responses for contract activity and other legal projects.

    + Coordinates and oversees legal process management systems, such as contract management systems.

    + Interacts effectively and efficiently with FSC, facility staff at all levels, and external counsel.Maintains communication regarding status of legal and contractual projects.Uses independent judgment to prioritize critical time sensitive tasks.

    + Assists in the development, implementation and/or application of policies, procedures and practices.Reviews and drafts procedural information to support company legal guidance and support programs.

    + Assists in development and production of legal work product in coordination with facility staff, service providers, vendors, consultants, outside counsel, and other in-house counsel.Collects pertinent data from facility and FSC sources in order to render legal advice and guidance and to respond to internal and external stakeholders.

    + Prepares and maintains a variety of reports, as required.Reviews related reports produced by other staff or departments and processes all reports and documents in a timely manner.

    + Coordinates the maintenance and integrity of databases and files in an organized manner.

    + Composes significant well-organized, persuasive and coherent documents, including correspondence with vendors, consultants, state and federal agencies and external legal counsel, memoranda, contracts, internal guidance documents and reports.

    + Reviews and processes various documents related to contracting, governance, related facility records, correspondence, operating agreements, regulations, procedures, reports, directions for form completion and other documents.

    + Keeps abreast of new laws and regulations, as well as current issues and developments affecting the Company.

    + Domestic U.S. travel may be required.

    Qualifications:

    + Graduate from an accredited college or university with a Juris Doctorate degree and eligibility for licensure to practice law in Tennessee.

    + Must demonstrate ability to analyze complex legal issues and documents.

    + Must possess strong written and verbal communication skills and have the ability to effectively advocate or defend legal positions to constituent groups at all levels of the organization, while serving in an entry-level lawyer role.

    + Familiarity with document management or contract lifecycle management systems preferred.

    + Proficiency in Microsoft Office applications is required.
