Description

We are looking for a highly skilled Attorney to join our legal team in the Seattle/Tacoma area. This role demands a proactive and strategic approach to legal matters, providing expert guidance to support the organization’s growth and operational objectives. The ideal candidate will be adept at managing complex legal issues, ensuring compliance with regulations, and fostering strong relationships with internal and external stakeholders.

Responsibilities:

• Offer strategic legal advice across a broad spectrum of areas, including regulatory compliance, contract negotiations, mergers and acquisitions, and litigation.

• Ensure the organization's activities align with legal requirements and maintain compliance with applicable laws and regulations.

• Draft, review, and negotiate various contracts, such as vendor agreements and customer contracts, while overseeing legal documentation.

• Manage corporate governance tasks, including entity formation, minute book maintenance, and preparation of consents in lieu of meetings.

• Identify legal risks and develop proactive solutions to mitigate them, including creating and implementing internal policies and governance procedures.

• Oversee litigation matters, including coordination with external counsel and preparation for legal proceedings.

• Develop and deliver training programs to enhance legal and compliance awareness throughout the organization.

• Represent the company in external legal matters and cultivate relationships with trade associations, regulators, politicians, and external legal counsel.

• Handle multiple projects simultaneously in a dynamic environment, ensuring timely and high-quality deliverables.

• Provide leadership and direction to paralegals and other legal staff, including recruitment, training, and performance management.

Requirements

• Juris Doctor (JD) degree from an accredited law school and active license to practice law in Washington or willingness to obtain licensure.

• Minimum of five years of legal experience in business law, including areas such as transactions, real estate, corporate governance, environmental regulation, tax, transportation, and logistics.

• Proven ability to manage legal risks and provide strategic advice in a fast-paced environment.

• Strong communication and interpersonal skills for effective collaboration with diverse stakeholders.

• Experience in litigation management and familiarity with external counsel coordination.

• Demonstrated leadership abilities, including managing teams and providing guidance to legal staff.

• Familiarity with government and public relations processes is a plus.
