Description We are looking for an experienced In House Counsel to join our team on a long-term contract basis in Boston, Massachusetts. This role involves overseeing legal aspects of investment and fund management while ensuring compliance with corporate policies and regulations. The ideal candidate will have a strong background in drafting contracts, managing fund documentation, and handling corporate finance matters.
Responsibilities:
• Draft and review a variety of commercial contracts and legal documents to ensure accuracy and compliance.
• Manage and update fund documentation to meet regulatory requirements and organizational standards.
• Coordinate investment activities, including due diligence and legal analysis.
• Provide guidance on corporate finance matters and ensure adherence to legal regulations.
• Conduct audits of legal processes and documentation to maintain compliance.
• Utilize legal and document management software to streamline work processes.
• Collaborate with internal teams to address legal concerns related to investment and fund management.
• Support claim administration and provide legal advice on related issues.
• Stay updated on changes in laws and regulations relevant to the organization’s operations.
• Assist in resolving disputes and negotiating terms with external parties. Requirements • Minimum of 5 years of experience in a legal role, preferably within investment or fund management.
• Proficiency in legal tools such as Adobe Acrobat, Automated City Register Information System (ACRIS), and HRMS.
• Strong knowledge of corporate finance and commercial contract drafting.
• Familiarity with fund management and investment management processes.
• Demonstrated expertise in documentation and auditing practices.
• Ability to stay informed on regulatory changes and law compliance.
• Excellent analytical and negotiation skills.
• Bachelor’s degree in Law or a related field; advanced degrees or certifications are a plus.
