    We have an exciting opportunity for a Senior Corporate Counsel to provide legal support for Caterpillar’s Industrial Power Systems Division (IPSD), a global business with significant operations in the US, UK, Brazil, China, and India.

     

    This Senior Corporate Counsel will work with IPSD leadership and staff and collaborate with relevant functional and regional legal teams to ensure the provision of responsive and high-quality legal support globally. The Senior Corporate Counsel will deliver or coordinate the delivery of legal support for a broad range of issues and business concerns, including eCommerce and data service agreements, direct sale agreements, general commercial agreements, and general compliance issues. The role provides management, leadership, and legal expertise on significant legal issues, conducting analysis and providing counsel to senior business leaders. The position reports to the Associate General Counsel for IPSD. The position is located in Seguin, TX.

    What You Will Do:

    + Serve as trusted legal advisor for two business unit Vice Presidents

    + Draft and negotiate commercial agreements, including eCommerce and technology related agreements with customers and distributors

    + Collaborate with subject matter experts to provide proactive, actionable legal advice to clients across legal disciplines, including issues related to complex commercial transactions, compliance, intellectual property, and litigation

    + Prepare materials for executive review regarding legal risks

    + Lead/participate/manage process improvement initiatives

    What You Have:

    + **Significant Legal Experience** : Proven track record of legal experience, including complex commercial transactions and compliance risk support

    + **Business Acumen:** Ability to work with senior business leaders to understand objectives and provide actional legal advice

    + **Problem Solving:** Proven track record of recognizing, anticipating, and resolving organizational, operational or process problems to serve the business more effectively

    + **Risk Management:** Proven track record of effectively identifying, communicating, and mitigating legal risk

    Degree and Experience Requirements:

    + J.D. from an accredited law school with strong academic credentials

    + Active Bar admission in any U.S. state

    + Must have considerable experience with complex agreements and advising and counseling senior business leaders

    + Proven client service and relationship skills are required to serve this segment of the business by building productive and efficient collaborative relationships internally and externally

    **Additional Info** :

    + The primary location for this position is Seguin, Texas. Secondary locations under consideration are Peoria, IL or Irving, TX

    + Domestic relocation assistance is available for those who qualify

    + Sponsorship is **not** available

    + International and Domestic travel up to 10%

    + **This position requires the candidate to work a 5-day-a-week schedule in the office**

    Summary Pay Range:

    $174,240.00 - $261,360.00

     

    Compensation and benefits offered may vary depending on multiple individualized factors, job level, market location, job-related knowledge, skills, individual performance and experience. Please note that salary is only one component of total compensation at Caterpillar.
