Description We are looking for a skilled Corporate Transactional Attorney to join a dynamic legal team in Rockville, Maryland. The ideal candidate will bring 2 to 5 years of experience in corporate law, providing expertise in mergers and acquisitions, contract negotiation, and compliance matters. This role offers the opportunity to work in a collaborative environment that values growth and client-focused solutions.

Responsibilities:

• Draft, review, and negotiate a variety of commercial agreements, including non-disclosure agreements, purchase contracts, and service arrangements.

• Provide legal counsel on corporate governance, compliance matters, and strategic business transactions.

• Oversee mergers and acquisitions processes, including structuring transactions and conducting due diligence.

• Collaborate with internal teams and external consultants to ensure seamless execution of corporate transactions.

• Monitor and interpret changes in laws and regulations affecting corporate practices.

• Facilitate the formation and structuring of entities, joint ventures, and partnerships.

• Support clients with transactional strategies and risk mitigation approaches.

• Develop tailored legal solutions that align with client needs and industry requirements.

• Maintain a high standard of accuracy and timeliness in all legal documentation. Requirements • Juris Doctor (J.D.) degree from an accredited law school.

• Active admission to the Maryland Bar; admission to the Virginia or DC Bar is a plus.

• 2–5 years of experience in corporate transactional law, with attention to detail.

• Proficiency in corporate law, mergers and acquisitions, and contract drafting and negotiation.

• Strong analytical and problem-solving abilities paired with excellent communication skills.

• Demonstrated ability to manage multiple priorities effectively.

• A client-oriented approach with a commitment to delivering high-quality legal services.

• Experience with entity formation, joint ventures, and corporate governance.
