Description

An established corporate law firm in San Francisco is seeking a Junior Corporate Paralegal to support attorneys with entity formation, governance, and contract review. This is an excellent opportunity for an early-career legal professional with 1–2 years of paralegal experience to grow in a collaborative, fast-paced legal environment.

Responsibilities:

+ Assist with entity formation and dissolution (LLCs, C-Corps, S-Corps, partnerships) across multiple jurisdictions

+ Prepare and file basic corporate governance documents, including board consents, meeting minutes, and annual filings

+ Help maintain corporate records and entity management databases

+ Support attorneys in the review and redlining of NDAs, vendor agreements, and service contracts

+ Perform legal research related to business registrations, compliance filings, and corporate structure

+ Coordinate signatures and maintain organized digital and physical files of executed agreements

+ Track deadlines for compliance filings and support due diligence for transactions

Requirements

Requirements:

+ 1–2 years of corporate paralegal or legal assistant experience

+ Bachelor's degree required; paralegal certificate preferred

+ Strong interest in corporate or transactional law

+ Excellent organizational skills and a high level of attention to detail

+ Proficiency with Microsoft Office (especially Word and Excel); familiarity with document management systems a plus

+ Clear verbal and written communication skills

+ Ability to manage multiple deadlines and work effectively in a fast-paced team environment
