As a Securities Counsel, this individual regularly collaborates on a wide range of securities related matters with a variety of functional teams including, but not limited to, Finance, Investor Relations, People Operations, Sales, Marketing, Market Access, QA/RA, Supply Chain, Engineering, and Operations. Additionally, this role supports Kestra’s overall strategic goals as well as those of the Legal Team. This position is accountable for SEC filings and disclosures, corporate and board governance, compliance and disclosure aspects of securities offerings and insider trading. They provide advice and support to the General Counsel, Executive Leadership and team members on these topics as appropriate. From time to time they may also be required to provide other legal support to the business in investigations, creating and delivering legal and compliance training, and reviewing and approving company policies. This position reports directly to the General Counsel/CAO and is part of the Kestra Leadership Team.
Requirements
ESSENTIAL DUTIES
+ Act as a strategic partner with Kestra Team Members and outside counsel on matters of importance to the Company by providing thoughtful, creative, and timely legal advice.
+ Advise company on federal and state securities laws, including the Securities Exchange Act of 1934, and other relevant regulations (such as Sarbanes-Oxley, Dodd-Frank, and the JOBS Act).
+ Draft and Mmanage legal aspects of SEC required disclosures in period filings such as 10-Ks, 10-Qs, 8-Ks, proxy statements, and registration statements.
+ Deliver practical, business-oriented advice on securities law issues with a focus on meeting the company’s goals in a legally compliant manner.
+ Support the maintenance of and compliance with trading windows, support the creation and termination of 10b5-1 plans, creation and filing of all Section 16 forms for Section 16 officers.
+ Provide counsel and training to team members and others on insider trading, market manipulation, and other violations of securities law.
+ Support the General Counsel in preparation for and organization of Board Meetings including Audit, Compensation and Governance Committee meetings, including all supporting materials, minutes and resolutions.
+ Lead the Section 16 compliance tracking reporting for Board and NEOs. Draft board resolutions and maintain signature records.
+ Update and maintain insider trading policiesy and compliance policies and provide training to the team on these topics.
+ Manage process annual D&O questionnaire process and documentation with Board and NEOs
+ Assist with issuance of shares and coordination with registered transfer agent for common stock
+ Conduct legal research, due diligence, and risk assessments related to securities transactions, investments, and other corporate activities.

QUALIFICATIONS
Education/Experience Required:
+ Law degree (J.D. or equivalent) and bar admission required
+ 5+ years of experience in securities law or corporate law, particularly in SEC compliance, board and corporate governance, capital markets or regulatory enforcement.
+ In-depth knowledge of securities laws, regulations and legal precedents
+ Ability to handle complex legal matters with minimal oversight while escalating significant issues in a timely fashion.
+ Ability to work with complex legal and financial documents.
+ Sound judgement, a high degree of professionalism, and an ability to prioritize and adhere to deadlines.
+ Communicates clearly, concisely and persuasively with a variety of internal stakeholders (corporate business partners, team members, functional colleagues, etc.), works collaboratively and builds effective partnerships.
Preferred:
+ Expertise in medical device, industrial services, technology engineering, or finance industries
SUPERVISORY RESPONSIBILITIES:
+ Directly supervise SEC Paralegal including but not limited to conducting performance reviews, providing feedback, and helping to set professional development goals.

+ Extended/overtime hours when needed

Salary: $180,000-$250,000 plus bonus. Depending on experience and location.
