    Job Description

    The New York City Housing Authority (NYCHA), the largest public housing authority in North America, was created in 1935 to provide decent, affordable housing for low- and moderate-income New Yorkers. NYCHA is home to 1 in 17 New Yorkers, providing affordable housing to 528,105 authorized residents through public housing and Permanent Affordability Commitment Together (PACT) programs as well as Section 8 housing. NYCHA has 177,569 apartments in 2,411 buildings across 335 conventional public housing and PACT developments. In addition, NYCHA connects residents to critical programs and services from external and internal partners, with a focus on economic opportunity, youth, seniors, and social services.

     

    The Corporate Secretary reports to the Special Advisor for Corporate Governance and Audit.

    Responsibilities include, but are not limited to, the following:

    - Direct professional and administrative staff in several fast-paced extremely deadline-driven departments within the Office of the Corporate Secretary ensuring compliance with all applicable laws, rules and internal policies: Calendar and Documents Unit and Board Logistics Unit.

     

    - Review and finalize all Board materials in preparation for Board Meetings.

     

    - Preside over all Board Meetings.

     

    - Execute all Board Member-related logistics including, but not limited to, providing timely materials to the Board in preparation for Board Meetings, coordinating briefings for Board, managing correspondence/inquiries to Board, facilitating internal Board communications, managing Board Member calendars and onboarding of new Board Members.

    - Ensure proper planning, preparation and execution of Board Meetings in compliance with Open Meetings Law including, but not limited to:

    o Establish the yearly calendar of Board Meetings and provide adequate public notice.

    o Ensure the timely preparation and accuracy of Board Calendar, Board Resolutions, and reports including reviewing submissions, assisting departments with submissions and finalizing Board Calendar.

    o Attend Board Meetings and ensuring accuracy in drafting and issuance of Board Minutes.

     

    - Ensure maintenance of accurate related records.

     

    - Monitor corporate governance developments and implement them accordingly to ensure compliance.

     

    - Coordination with the Special Advisor for Corporate Governance and Audit, serving as an advisor to the Board Members, as well as a liaison to the Executive Team and external stakeholders.

     

    - Manage personnel matters and annual departmental budget.

     

    - Consistently reviewing department processes to improve operational effectiveness.

     

    - Assist with special projects, representing the office on designated committees/initiatives, and performing other related duties, as required.

    Qualifications

    Admission to the New York State Bar; and four years of recent full-time responsible, relevant, satisfactory legal experience subsequent to admission to any bar, eighteen months of which must have been in the supervision of other attorneys, in an administrative, managerial or executive capacity, or performing highly complex and significant legal work.

     

    Incumbents must remain Members of the New York State Bar in good standing for the duration of this employment.

    Salary Min: $120,000.00
