    Eaton’s Corporate Sector division is currently seeking a Manager - Acquisition & Divestiture Accounting. This position will be based out of our North America Headquarters in Beachwood, OH on a hybird work schedule.

     

    The expected annual salary range for this role is $123750.0 - $181500.0 a year. This position is also eligible for a variable incentive program.

    What you’ll do:

    The Manager - Acquisition & Divestiture Accounting partners with Strategy & Corporate Development, other corporate functions, our businesses, and integration teams to provide accounting support and oversight, integration support, and financial reporting and analysis related to both actual and potential acquisitions and divestitures. The team performs financial due diligence on acquisition and joint venture targets, advises on deal structuring, supports deal modeling activities, and performs sell-side divestiture activities. This position also partners with the business on unique and complex transactions. The Manager - Acquisition & Divestiture Accounting is also responsible for the overall financial and accounting oversight of formal restructuring programs.

    Job Responsibilities:

    • Lead and conduct financial due diligence over acquisition, joint venture, and strategic investment targets

    • Coordinate and oversee 3rd party diligence firms conducting diligence on acquisition targets (when diligence has been outsourced for larger projects)

    • Advise Strategy & Corporate Development and Legal on deal terms and structuring favorable to Eaton

    • Perform consolidation analysis for investments in which Eaton owns less than 100%

    • Partner with business integration teams to plan and execute finance integration activities

    • Advise the operations on acquisition accounting and appropriate purchase price accounting adjustments

    • Run the closing balance sheet review and purchase price settlement process

    • Work closely with, and manage, third party valuation firms and the acquired operations to support the fixed asset and intangible valuation process for acquired businesses

    • Provide accounting insight and analysis related to divested businesses and assist in the preparation and recording of entries required to recognize the proper gain/loss on sale

    • Interpret U.S. GAAP and Eaton financial policies on accounting matters and provide clear and concise guidance on application and account usage to acquired operations

    • Perform annual goodwill impairment analysis

    • Liaison with external and internal auditors to explain acquisition accounting and provide detailed supporting documentation

    • Partner with the business and other functions to provide finance and accounting support and guidance on strategic transactions, projects, and ad hoc requests

    • Lead projects and implement process improvements to help drive efficiencies in the finance organization.

    Qualifications:

    Required (Basic) Qualifications:

    • Bachelors Degree required.

    • Minimum five (5) years of experience in finance/accounting.

    • Minimum two (2) years prior due diligence and M&A transaction experience required.

    • No relocation benefit is being offered for this position. Only candidates within a 50-mile radius of Beachwood, OH will be considered. Active-Duty Military Service member candidates are exempt from the geographical area limitation.

    • Must be able to work in the United States without corporate sponsorship now and within the future.

    Preferred qualifications:

    • CPA

    • Previous experience within a large, global manufacturing organization a plus.

    Position Criteria:

    • Ability to communicate with a diverse set of stakeholders including junior team members, external target personnel/advisors, and senior executives.

    • Highly developed strategic/analytical thinking.

    • Ability to manage ambiguity.

    • Ability to express the complex in simple, easy-to-grasp ways, verbally and in writing.

    • Is curious, inquisitive and comfortable challenging the status quo.

    • Attention to detail and accuracy.

    • Excellent knowledge of financial systems such as Oracle, SAP, HFM, and Longview.

    • Strong knowledge of US GAAP.

    • Up to 10% travel required
