Governance, Risk, and Compliance & Legal Lead Role Summary: The Compliance function of this position gives independent, legal and organizational advice to the management, management bodies and employees, and trains them on the internal minimum legal standards with regard to their area of responsibility – the prevention of corruption, embezzlement, and money laundering. Compliance and integrity should be systemically anchored in all relevant processes and instruments of the company. The Compliance function manages the rollout of the Compliance Management System (CMS) and the integrity program, and ensures the necessary local adaptation. The Risk Management function acts as a business partner to management, management bodies and employees in order to minimize and manage the business related risks. This is fostered by a risk management process, an internal control system and business continuity management. The Policy Management function coordinates the local implementation of all relevant PowerCo Group Policies and acts as an advisor to the business on how to formulate policies, organizational instructions and working aids. It ensures that the internal framework is set according to the local laws. The Legal function requires a background in Construction Law, Environmental Health and Safety (EHS/OHS), and Transportation of Dangerous Goods. In addition to the above-mentioned areas, as a Lawyer with experience in Construction Law, Environmental, Health, and Safety (EHS/OHS), and Transportation of Dangerous Goods, you will provide comprehensive legal counsel, represent clients in compliance matters, and support various projects requiring expertise in these specialized areas. This role requires strong research, analytical, and drafting skills, along with the ability to work effectively within a team and communicate well with clients. Role Responsibilities: Implementation of PowerCo SE policies as well as local adjustment, if necessary (Compliance, Risk Management & Policy Management). Creation of additional GRC (Compliance, Risk Management & Policy Management) policies adapted in accordance with US laws and any policies that may be required under US law. I mplementation of internal processes, organizational structures and local adjustment, if necessary (Compliance, Risk Management & Policy Management). Implementation of trainings and local adjustment, if necessary (Compliance, Risk Management & Policy Management). Regular reporting to local Management and PowerCo SE Compliance and Risk Management division. Participation in ICRA (Internal Control Risk Assessment of VW AG) and implementation of respective measures. Monitoring and prevention of legal compliance risks, particularly those which may imply criminal responsibility for the company, such as anti-trust, anti-corruption, money laundering, bribery, environmental protection, etc. Collaboration with other business units will be expected. Subject matter expert in locally applicable corporate governance laws including the monitoring of legislative and regulatory developments relevant to maintaining an effective Compliance Management Systems. Establishment of a local compliance organization. Counseling of Management and the business units on Compliance-, Integrity- & Risk Management-related topics. Overall Policy Management: Implementation of Group Policies, local adjustment, if necessary, according to the predefined processes. Implementation of the Quarterly Risk Process, the Internal Control System and the Business Continuity Management System based on Headquarter requirements locally. Running of implementation processes and reporting of results to HQ Risk Management. Training and Communication of local Risk Management community. Topic prioritization, checking of slide decks, and task organization related to US committees. Drafting and presenting risk reports and proposals to executive leadership and senior staff. Construction Law Provide legal guidance on construction contracts, including drafting, reviewing, and negotiating agreements. Advise clients on project delivery methods, risk allocation, and claims management. Assist with dispute resolution, including mediation, arbitration, and litigation, related to construction projects. Ensure compliance with construction laws, regulations, and standards, including zoning and permitting. Environmental, Health, and Safety (EHS/OHS) Advise clients on compliance with environmental laws and regulations, including waste management, emissions, and resource conservation. Provide counsel on occupational health and safety requirements, policies, and risk management. Represent clients in investigations, audits, and disputes related to environmental or workplace safety breaches. Support clients in navigating regulatory frameworks and liaise with government agencies when needed. Transportation of Dangerous Goods Advise on legal compliance with local and international transportation regulations for hazardous materials. Draft and review policies, procedures, and agreements related to the storage, handling, and transportation of dangerous goods. Represent clients in enforcement actions, disputes, or incidents involving regulatory violations. Conduct risk assessments and support training programs to align with legal requirements. Qualifications Years of Relevant Experience: 7+ years of experience in Legal, Compliance, Governance and Risk Management. Education: Required Bachelor’s in Arts or Science in Law or Legal Studies, LLB, or similar. Desired Master’s in Compliance, Governance, JD, LLM, MLS, MSL, JM, or equivalent. Skills: Strong collaboration and cooperation skills. Experience in setting up a function is considered an asset. Thorough understanding of policies and best practices of risk management. S easoned in the processing of critical and political topics with a maximum of integrity. Excellent verbal and written communication skills. Excellent critical thinking skills. Excellent analytical and problem-solving skills. Excellent organizational skills and attention to detail. Proficient with Microsoft Office Suite or related software to prepare reports and policies. English language knowledge mandatory, German language knowledge preferred. Excellent knowledge and experience in the areas of Construction Law, EHS/OHS, or Dangerous Goods regulations. Strong knowledge of relevant local and federal laws, including relevant regulatory frameworks. Working experience in the manufacturing sector or other in-house experience an asset. Excellent legal drafting, negotiation, and analytical skills. Strong litigation and dispute resolution experience. Knowledge and experience drafting, negotiating, structuring and advising on various types of complex commercial contracts and transactions. Ability to develop and maintain strong relationships with internal and external clients. Strong ability to collaborate cross-functionally. Demonstrated initiative, independent thinking, conflict resolution and creative problem-solving skills. Effective collaboration and teamwork, with demonstrated professionalism and tact. In Belmont, California, the salary range for this role is $145,600 -$193,100, depending on education and experience.
