    Job Duties

    + Assist the Director – Tax Planning, Controversy, and Research, and other members of the tax planning team on internal and external legal matters

    + Draft subsidiary board resolutions, consents, distribution/contribution agreements, and intercompany financing agreements

    + Collaborate with the legal department on entity creations and dissolutions

    + Work from and maintain a database of precedent documents

    + Maintain and draft structure charts and transaction step-plans

    + Assist with legal research projects

    + Support tax controversy matters

    + Prepare memoranda documenting transactions

    Qualifications

    + 5+ years of experience in an AmLaw 250 law firm, Big4 accounting firm, or large corporate environment

    + Strong legal writing background with experience drafting complex commercial agreements

    + Bachelor’s degree from an accredited 4-year university

    + Experience with common non-U.S. holding company jurisdictions (preferred)
