Position Summary:

We are seeking a highly skilled and business-savvy **Litigation Attorney** to join our dynamic legal team in Feasterville, PA. The ideal candidate will have a strong background in **civil litigation** with a focus on **business law, real estate disputes, intellectual property, entity formation, contracts, M&A, labor and employment law, and financing/VC transactions** . This role requires a strategic thinker with excellent courtroom presence and the ability to manage complex legal matters independently and collaboratively.

Key Responsibilities:

Litigation & Dispute Resolution

+ Represent clients in **state and federal courts** , arbitration, and administrative hearings.

+ Handle all phases of litigation including **pleadings, discovery, trial preparation, and courtroom advocacy** .

+ Develop litigation strategies and manage case documentation.

Business & Corporate Law

+ Advise clients on **entity formation** , governance, and compliance.

+ Draft and negotiate **commercial contracts** , partnership agreements, and shareholder documents.

+ Support **M&A transactions** , including due diligence, structuring, and post-deal integration.

Real Estate & IP Law

+ Litigate **real estate disputes** , including zoning, leasing, and property rights.

+ Draft and review **real estate contracts** , deeds, and lease agreements.

+ Provide counsel on **intellectual property matters** , including trademarks, copyrights, and licensing.

Labor & Employment Law

+ Advise on **employment contracts** , workplace policies, and labor disputes.

+ Represent clients in **employment litigation** , including wrongful termination and discrimination claims.

Financing & Venture Capital

+ Support clients in **VC and private equity transactions** , including term sheet negotiation and regulatory compliance.

+ Draft financing agreements and advise on **capital structure and investor relations** .

Qualifications:

+ Juris Doctor (JD) from an accredited law school.

+ Active and in good standing with the **Pennsylvania Bar** .

+ Minimum **5 years of litigation experience** , with exposure to business and real estate law.

+ Strong understanding of **corporate transactions, IP law, and employment regulations** .

+ Excellent **legal research, writing, negotiation, and courtroom skills** .

+ Ability to manage multiple complex matters and meet deadlines.
