    Job Summary and Qualifications

     

    We are seeking a strategic and experienced **Director of IT Negotiations** to lead complex sourcing initiatives and contract negotiations across a wide range of IT categories. This role is responsible for drafting and negotiating capital equipment, software licensing, maintenance and support, and cybersecurity agreements. The ideal candidate will bring thought leadership, legal acumen, and strong interpersonal skills to drive impactful outcomes for our organization and members.

    What you will do in this role:

    + Position's key area of focus will be sourcing initiatives that are primarily categories with medium-to-high complexity, risk and sensitivity.

    + Individual will own the negotiation of various contract exhibits, including software licenses, software as a service, service levels, maintenance and support agreements, interoperability, professional services contracts, information security and artificial intelligence. Individual will advise on risks associated with Vendor’s proposed redlines to such exhibits.

    + Individual will review contractual documents to ensure adherence to company policies.

    + Individual will follow standard practices and policies in analyzing situations/data but will use their ideas and thought leadership to develop strategies and solve a range of challenges and opportunities.

    + Individual will exercise judgement in selecting and/or adapting methods for obtaining solutions – taking a new perspective on using existing solutions to solve for complex problems.

    + Individual will receive negotiation guidance and oversight from legal and manager but is mostly expected to execute based on their individual experience/knowledge. Minimal oversight and guidance will be provided by the negotiator’s manager.

    + Individual will participate in continuous improvement initiatives in the negotiation and contracting area, helping to improve contracting efficiencies, processes and agreements.

    + Individual is responsible for supporting the sourcing process, including product and vendor research, contract risk identification and mitigation, gaining consensus on risk strategy and contract negotiations.

    + Individual is responsible for presenting negotiation strategies to internal stakeholders including HealthTrust Senior Leaders and Functional Team members (finance, legal, clinical, portfolio specialists and others).

    + Individual must be articulate and have strong presentation skills and the ability to tailor communications to the audience.

    + A key step in the sourcing process is strategy development. Individual must identify potential risks, challenges, and opportunities of the category. In addition, they must understand member needs/requirements. Individual will be responsible for developing a contracting strategy that will mitigate risks, address member needs, and maximize the best outcome. Given the magnitude of the HealthTrust membership, the strategy must take into account a very diverse and complex mix of member organizations (for profit, not for profit, acute, non-acute, non-healthcare, etc.)

    + Individual must formulate a clear vision of the strategy, be able to articulate the vision, and execute the steps necessary to achieve the strategy. Strategies typically contemplate a variety of complex considerations. The individual must be adept at reading situations, people/parties and adapting strategies or negotiations as necessary throughout the sourcing process.

    + Individual must have the ability to independently plan and execute project timelines for assigned categories. Must maintain and keep accurate the contracting work plan and contracting details in the Contract Lifecycle Management system.

    + Individual must have: demonstrated level of organizational ability and attention to detail; ability to translate objectives into project planning priorities, create and manage work plans and timelines for multiple projects and priorities, and finalize negotiations in the time-frame designated for the project; and the ability to be highly efficient and highly productive, demonstrating high volume of contracts/categories handled without sacrificing on quality.

    + Individual must have: demonstrated level of organizational ability and attention to detail; ability to translate objectives into project planning priorities, create and manage work plans and timelines for multiple projects and priorities, and finalize negotiations in the time-frame designated for the project; and the ability to be highly efficient and highly productive, demonstrating high volume of contracts/categories handled without sacrificing on quality.

    + Manage internal communications, facilitate escalations and approvals, and address queries from customers and stakeholders.

    + Negotiate from the other party’s form agreement, if approved.

    + Possess a solid understanding of legal concepts and contractual terms.

    + Possess the ability to learn new systems and processes quickly.

    + Strong oral and written communication and interpersonal skills and a strong sense of teamwork.

    + Possess excellent judgment and be able to work independently and juggle multiple priorities, in a fast paced high-growth environment.

    What you will need for this role:

    + Bachelor’s degree in business administration, information technology, information security, or a related field.

    + 7+ years of experience in reviewing, drafting, managing and negotiating a wide variety of contracts and contract language, with a strong emphasis on software licensing agreements, information security, service level agreements, capital equipment agreements, interoperability, professional services agreements and artificial intelligence.

    + 3+ years of experience in a management role

    + Experience with cybersecurity and privacy laws/regulations/guidance, including the FDA Postmarket Management of Cybersecurity in Medical Devices, the NIST Framework for Improving Critical Infrastructure Cybersecurity, the DOD Risk Management Framework, GDPR, CCPA, and SOC 2.

    + Foundational understanding of technical concepts related to information technology, network management, information security, privacy, and AI.
