Description

A large growing national construction and manufacturing company is seeking to hire a General Counsel to serve as the chief legal advisor, overseeing all legal matters related to its operations, including contracts, compliance, risk management, litigation, labor and employment, and corporate governance. This role ideally works at least a hybrid schedule from their headquarters in Portland, OR. The role reports to the CFO with direct communication with the CEO, both present in Portland.

The salary range for the position is 210-300k base plus an additional 10-15% merit bonus. The company provides medical, dental, vision, and life insurance, FSA options for health and dependent care, 401k with 4% match, unlimited PTO, 10 paid holidays and additional perks.

Main responsibilities:

- Review, draft, and negotiate a wide range of contracts including contractor and subcontractor agreements, vendor agreements, purchase and sale and lease agreements.

- Ensure contract compliance and mitigate contractual risks.

- Monitor and ensure compliance with federal, state, and local laws and regulations affecting the construction industry.

- Lead internal investigations and respond to regulatory inquiries or audits.

- Oversee dispute resolution, claims management, and litigation strategy; manage outside counsel

- Collaborate with insurance and risk management teams to minimize exposure.

- Provide legal guidance on employment law matters including hiring practices, labor relations, workplace safety, and employee disputes.

- Support HR in policy development and compliance with employment regulations.

- Ensure proper governance practices and maintain corporate records.

- Support mergers, acquisitions, and other strategic transactions.

Requirements

Qualifications:

- Juris Doctor (JD) from an accredited law school; active license (Oregon preferred).

- Minimum of 6 years of experience as an attorney, with 3+ years supporting an in-house legal department as the leading counsel

- Significant experience in the construction or manufacturing industry

- Skilled in construction contract drafting, negotiations and reviews

- Experience advising labor and/or employment matters, supporting HR departments and responding to complaints

- Experience with basic corporate governance and corporate secretarial tasks such as meeting minutes

- Proven ability to manage complex legal issues and provide strategic counsel.
