Description

A leading AI-powered B2B SaaS company is seeking a Commercial Counsel to join its growing legal team on a fully-remote, temporary basis. This attorney will work closely with the General Counsel and cross-functional business partners to negotiate commercial agreements, support sales operations, and assist with ongoing privacy and compliance matters. The ideal candidate has strong commercial contracting experience, enjoys collaborating with fast-paced teams, and brings a pragmatic, business-oriented approach to balancing legal risk with operational goals.

Responsibilities:

+ Negotiate, draft, and review a wide range of commercial agreements, including SaaS, MSAs, subscription, vendor, DPA, and partnership agreements.

+ Partner with internal stakeholders across Sales, Procurement, and Operations to facilitate efficient deal closure.

+ Update and maintain contract templates to reflect evolving business and regulatory requirements.

+ Advise on data protection, privacy, and AI-related provisions to ensure compliance with global privacy laws (GDPR, CCPA).

+ Support the General Counsel with governance and compliance initiatives as needed.

+ Contribute to continuous improvement of contract workflows, templates, and playbooks.

Requirements

Qualifications:

+ Juris Doctor (JD) and active membership in at least one U.S. state bar (California license preferred).

+ 3–7 years of commercial contracting experience, including 1–2+ years in-house within a SaaS, technology, or startup environment.

+ Demonstrated experience independently negotiating SaaS and vendor agreements.

+ Experience drafting and negotiating Data Processing Agreements (DPAs) and understanding global privacy frameworks (GDPR, CCPA, etc.).

+ Strong communication and stakeholder management skills with the ability to simplify complex legal concepts.

+ Experience with contract lifecycle management tools (e.g., Ironclad, DocuSign CLM) preferred.

+ Comfortable working remotely and managing multiple deals in a fast-paced environment.
