Job Description
We are seeking a highly organized and experienced Corporate Secretary / Governance Manager to support the Legal Department in administering corporate governance processes, signing authority management, and business operations. This individual will coordinate governance activities across U.S. and international entities, manage time-sensitive approvals and documentation, and ensure compliance with corporate governance standards and policies.
Day-to-Day Responsibilities:
Corporate Governance & Board Support
Draft and prepare board presentations, minutes, resolutions, written consents, and maintain corporate ownership charts.
Coordinate governance documentation with internal stakeholders and external counsel.
Manage entity committee governance, ensure compliance with internal certification processes, and maintain accurate legal entity records.
Prepare and issue incumbency certificates and maintain up-to-date documentation in systems such as GaLexy, Jurisline, SharePoint, and Legisway.
POA / Apostille / Notary Coordination
Oversee the Power of Attorney and apostille process for both U.S. and international jurisdictions.
Liaise with legal teams, local counsel, and notaries to ensure proper execution and legalization of documents.
Signature Authority Administration
Serve as Administrator for Delegation of Signing Authority (BRUs) and related systems.
Manage updates and renewals to ensure consistency and compliance with policy requirements.
Provide training and guidance to new signers on signature authority policies and digital signature setup.
Business Management & Legal Operations
Support departmental budgeting, accruals, and KPI reporting in collaboration with finance and leadership stakeholders.
Review and analyze monthly expense reports and vendor invoices; support audit and inspection activities.
Coordinate onboarding and offboarding of staff and consultants, including access, training, and documentation.
Provide organizational support for time-sensitive transactions, ensuring smooth collaboration between Legal, Operations, and Audit teams.

Skills and Requirements
8+ years of experience in Corporate Governance, Legal Operations, or Corporate Secretary functions within financial services, law firms, or multinational organizations.
Proven experience drafting corporate resolutions, consents, and board documentation.
Deep understanding of POA, notary, and apostille processes in U.S. and cross-border contexts.
Familiarity with legal entity management systems (e.g., Diligent Entities, GaLexy, Jurisline, or similar).
Exceptional organizational, drafting, and communication skills with the ability to manage competing priorities.
Proficiency in Microsoft Office (Word, Excel, PowerPoint) and Adobe Acrobat.
Bachelor’s Degree required. Experience in a global corporate or financial services environment.
Working knowledge of FR Y-6 / Y-10 reporting or other regulatory reporting frameworks.
Exposure to international governance coordination (e.g., France, EMEA, LATAM regions).
Bilingual (English/French) a strong plus.
Experience with process improvement tools such as iGrafx, SharePoint automation, or workflow mapping.
