About the Role & Team
The Tax Counsel and Tax Segment Planning groups are business-facing tax planning groups focused on proactively supporting operations, mitigating tax risks, and achieving tax efficiencies and benefits consistent with our overall Disney brand and reputation. These groups work directly with the operations, legal affairs, business affairs, corporate legal (litigation, anti-trust, IP, and other functions), labor, and various other functions.
What You Will Do
+ Proofread presentation materials, license agreements, liquidation documents, and other legal documents.
+ Assist with the preparation/drafting and execution of legal documents (mergers, liquidations, etc.).
+ Cite check submissions to taxing authorities and research materials, including checking the status of case law and precedents.
+ Prepare production credit transfer and sale agreements under the supervision of counsel. This work is high-value and volume work.
+ Perform basic research under counsel’s guidance.
+ Assist the team with legal entity liquidation process regarding document management.
+ Assist team in managing professional services billing and tracking for large-scale projects.
+ Maintain certain online legal agreement databases in SharePoint, including gathering new documentation, uploading this documentation to the database, updating metadata in the system (for licensee, choice of law, termination provision summaries, etc.), and ensuring that the system remains current and functional in other respects.
+ Assist with data gathering, project management, and administrative aspects of submissions to the tax authorities (such as the Internal Revenue Service) in tax controversy matters.
+ Manage Bates stamp process, summons responses, and compilation of research files prepared by attorneys
+ Manage and initial review of legal agreements for standard terms, choice of law, etc. received from the Corporate Secretary’s Office and Legal Subgroups for Tax Legal review and signature re affiliate agreements, leases, production activities, loan-out/vendor hires, and other corporate documents.
Required Qualifications & Skills
+ At least 3 years of relevant work experience in a law firm or in-house.
+ Ability to liaise/build relationships with Tax and non-Tax cast members and those outside of Disney to facilitate delivery of services above.
+ Experience with Bluebook, cite checking, and proofreading legal documents.
+ Drafting of legal documents under attorney supervision.
+ Well-developed written and verbal communication skills.
+ Understanding of SharePoint and electronic Filing and storage using legal agreement metadata.
Preferred Qualifications
+ Ability to perform basic factual and legal research under the supervision of an attorney.
+ JD preferred
Education
A Bachelor’s Degree and/or qualifications to be a paralegal by certification or education, and work experience as set forth by the American Bar Association and/or any applicable state codes.
The hiring range for this position in Glendale, CA is $87,100.00 to $116,800.00 per year based on a 40 hour work week. The amount of hours scheduled per week may vary based on business needs. The base pay actually offered will take into account internal equity and also may vary depending on the candidate’s geographic region, job-related knowledge, skills, and experience among other factors. A bonus and/or long-term incentive units may be provided as part of the compensation package, in addition to the full range of medical, financial, and/or other benefits, dependent on the level and position offered.
