Description

A San Francisco–based fintech company is seeking a Commercial Counsel to support its legal team on a remote contract-to-hire basis. Reporting to the Senior Commercial Counsel, this attorney will support the review, drafting, and negotiation of a variety of commercial agreements, with particular focus on SaaS, vendor, and procurement contracts that may include data privacy (DPAs) and AI-related provisions. This is an excellent opportunity for a mid-level attorney seeking to expand their in-house experience in a fast-paced, collaborative technology environment, with potential for long-term engagement or full-time conversion.

Responsibilities:

+ Review, draft, and negotiate a wide range of vendor, SaaS, technology, and professional services agreements.

+ Advise on data privacy and security terms in vendor engagements, including Data Processing Agreements (DPAs).

+ Collaborate with internal stakeholders on AI-related provisions (e.g., data usage, model training, and compliance) as relevant.

+ Partner closely with cross-functional teams to align contract terms with business and operational needs.

+ Support improvements to contract templates, playbooks, and negotiation processes.

+ Maintain organized contract records and assist with contract management tools and workflows.

Requirements

Qualifications:

+ Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. jurisdiction.

+ 3–5 years of hands-on experience negotiating commercial contracts, ideally in a technology, SaaS, or fintech environment.

+ Demonstrated experience drafting and negotiating vendor/procurement, SaaS, and DPA agreements.

+ Familiarity or exposure to AI-related contracting (e.g., data use rights, model training, or compliance considerations) is a plus.

+ Knowledge of privacy frameworks such as GDPR and CCPA preferred.

+ Proven ability to work independently and manage multiple priorities in a remote, fast-moving environment.

+ Excellent drafting, negotiation, and communication skills, with the ability to partner effectively across legal and business teams.

+ Highly organized and detail-oriented, with comfort using contract management tools and playbooks.
