             Description Robert Half Legal is currently seeking a highly skilled Mergers & Acquisitions Attorney to collaborate with a confidential company in supporting the buyer side of a significant transaction through due diligence and document management. This opportunity is a fully remote, full-time engagement. In this position, the attorney will work under the guidance of a senior attorney and collaborate with external counsel while assisting in the legal aspects of a key acquisition. Primary responsibilities will revolve around conducting focused due diligence alongside drafting and managing essential transaction documents. Assignment Duration: Approximately 10-12 weeks starting mid-December 2025 Key Responsibilities: + Conduct comprehensive audits of target companies to identify legal liabilities and risks, including corporate governance, intellectual property rights, contracts, litigation history, and employment matters. + Review and analyze confidential corporate documents, such as articles of incorporation, bylaws, and key agreements including customer/vendor contracts, leases, and financial arrangements. + Investigate intellectual property portfolios (e.g., patents, trademarks, copyrights) to ensure rights are properly documented and protected. + Draft and manage essential legal documents such as confidentiality agreements (NDAs), ancillary agreements, and disclosure schedules, ensuring compliance with transaction requirements. + Organize closing documents, resolutions, and checklists to ensure seamless completion of the acquisition process. + Collaborate with specialists from various practice areas (tax, real estate, intellectual property) to provide due diligence insights and a comprehensive legal analysis. + Communicate due diligence findings and related updates with clients through supervising attorneys to ensure alignment and informed decision-making. + Facilitate coordination with third parties, including regulatory agencies and lenders, to manage necessary transactional requirements and documentation. Requirements Requirements: + Experience: 5+ years in mergers and acquisitions with a focus on buy-side due diligence. + Licensing: Active attorney license is mandatory. + Time Commitment: Available for part-time (20 hours/week) or full-time (40 hours/week) work over approximately 10 weeks (assignment may extend). + Remote Capabilities: Must have access to a secure remote workstation. + Preferred Expertise: Experience in pharmaceutical or nutraceutical industries is advantageous but not required.
