    Manager Contract Generation

     

    Under the lead of the Associate Director, responsible for managing the contracting process for pharmaceutical agreements across all Bayer brands which may include commercial sales, distribution, and rebate agreements for channels such as Payer, GPO, Provider, IDN, Specialty Pharmacies, Specialty Distributors, and Wholesalers.

     

    Manage the contracting cycle from stakeholder request through final execution including responding to request for proposals, contract drafting, redlining, negotiations, approvals, execution, and maintenance.

     

    Interpret, analyze, draft and negotiate proposed and complex contract terms and conditions and price concessions (including discounts, rebates, price protection, administrative fees, and service fees) to determine if such terms align with the customer’s requirements and comply with regulatory guidelines, Contracting and Strategy guidelines, Contracting Pricing Subcommittee (CPS), and Executive Pricing Committee (EPC) pricing guidelines. Evaluate all contract proposals to ensure price concessions can be calculated and processed within contracted timelines and according to Bayer policies, procedures, and guidelines.

     

    Ensure contract compliance and transparency by utilizing and maintaining all agreements in Bayer’s Contracting Lifecycle Management System (CLMS) and adhering to Risk Management’s internal controls for all contract generation and approvals pursuant to SOPs and auditing.

     

    Collaborate with functional teams to eliminate process gaps, and apply best practices to build concise, consistent, effective, and compliant agreements.

     

    Collaborate with internal stakeholders to secure and document all necessary approvals to ensure legal and regulatory contract compliance.

     

    This role works closely with Legal, Strategy, Gross to Net, Account Management, Contract Administration, Customer Service and several other cross functional departments within the organization to support Bayer's existing and new products. Manage or backup to the CPS/EPC process.

    YOUR TASKS AND RESPONSIBILITIES

    The primary responsibilities of this role, Manager Contract Generation, are to:

    + Manage contracting process from proposal initiation through contract execution, including generating contract drafts, amending existing agreements, redlining process, approvals, and negotiations;

    + Mitigate and assess all risk in the contracting process

    + Communicate and provide executed contract documents to Contract Administration for pricing and administration of contracts;

    + Draft and maintain contract templates for a variety of contract types including service agreements, patient programs, sales, and distribution, and draft complex non-standard contract language and custom agreements and other legal documents;

    + Demonstrate business acumen and contracting proficiency to actively manage the contract process through final execution;

    + Work with Legal department to discuss and work through contract language;

    + Manage the Contracting Pricing Subcommittee (CPS) and Executive Pricing Committee (EPC) process including communications, obtaining approvals, maintaining documentation of approved strategies;

    + Handle contracting activities in other contract channels, as needed;

    + Manage the RFP process, including bid review, response preparation and submission;

    + Responsible for making sure all contract requests are within EPC/CPS guidelines before drafting;

    + Assist Account Management in the negotiation of financial and business terms and conditions and participate in customer discussions, as needed;

    + Work closely with Strategy to gain a thorough understanding of the requirements in order to ensure can be memorialized in written agreement and also provide Strategy with guidance on any potential contracting, legal, or administration issues, as well as provide business recommendations based on overall contracting process;

    + Interpret strategic business approach and price guidelines and apply to contract drafting to ensure compliance with Bayer’s policy;

    + Apply formal, best practice methodologies to support and implement sales contract process strategies;

    + Provide Acct Mgt and Strategy with timely and appropriate contract information, expiration dates, etc., to make certain that agreements are amended accurately/timely and do not inadvertently expire;

    + Provide contract data and information to internal customers, incl internal/external auditors, as requested;

    + Ensure price concessions such as discounts, rebate, administration fees, service fees can be operationalized within contracted timelines and according to Bayer policies and procedures;

    + Work closely with Acct Mgt and Strategy Directors to understand patient needs, customer requirements, expectations, timelines, and challenges in alignment with contract strategies and business objectives;

    + Manage the contract process through Contract Lifecycle Management Systems (CLMS Pre/Post);

    + Lead training for Account Management and GTN teams in CLMS and is subject matter expert for CLMS Pre and Post contract process to ensure financials and approvals provided are accurately reflected;

    + Collaborate with internal stakeholders to prepare and distribute communications regarding price increases and special promotions;

    + Gain understanding of programs such as patient service programs and data requirements in order to document in contract;

    + Drive optimization and process improvement while applying best practice methodologies;

    + Handle projects as requested by internal customers including Bayer global;

    + Support Market Access initiatives.

    WHO YOU ARE

    Bayer seeks an incumbent who possesses the following:

    Required Qualifications:

    + Bachelor’s degree or relevant experience in lieu of a Bachelor’s degree is required;

    + Contracting (includes drafting) experience within the pharma, biotech, medical device, or related fields is required;

    + Understanding of Commercial, Purchase, Service, Rebate, and Marketing agreements;

    + Business knowledge of Group Purchasing Organizations, Wholesalers, Independent Delivery Networks, Payers, Providers, and Specialty Pharmacies;

    + Solid baseline knowledge of the U.S. Healthcare environment and customer channels;

    + Demonstrated understanding of Service agreements (FFS, Administrative Fees, fair market value, service and data fees);

    + Understanding of Pricing (340B, Rebate, Best Price, Fixed Price, Volume Discount, Basis Points Prompt Pay, Price Protection, GTN) as well as contracting core clauses;

    + High emotional intelligence and proven ability to effectively manage multiple business initiatives and cross-functional relationships within a fast-paced and complex matrix team environment;

    + Excellent written/verbal communication skills with ability to communicate across all levels of organization;

    + Excellent interpersonal, organizational, and project management skills, detail oriented, with the ability to work independently with little supervision as well as within a diverse team environment;

    + Strong time management skills, sense of urgency and ability to work well under pressure;

    + Ability to quickly adapt to changing business environment, shift priorities, and manage multiple stakeholders;

    + Excellent problem resolution and process improvements skills. Individual is required to demonstrate risk assessment, and ability to think and write mathematically;

    + Proven track record meeting/exceeding qualitative and quantitative targets, goals and deadlines;

    + Demonstrated initiative, creativity, strategic, and analytical capabilities, and ability to work effectively in complex, rapidly changing environments;

    + Ability to work cross-functionally, partner, influence and build consensus with stakeholders;

    + Proficient with standard office software applications (MS Word, Excel/PowerPoint, DocuSign);

    + Achieve all assigned goals while maintaining compliance with all Bayer policies/ standards;

    + Models and fosters behavior consistent with cultural beliefs and values of Bayer Pharmaceuticals.

    Preferred Qualifications:

    + Bachelor’s degree with 4 years of experience preferred or 8 years of relevant experience in lieu of a Bachelor’s degree;

    + Minimum of 4+ years of contracting (includes drafting) experience within the pharma, biotech, medical device, or related fields.

     

    Employees can expect to be paid a salary of between $111,900 to $167,900. Additional compensation may include a bonus or commission (if relevant). Additional benefits include health care, vision, dental, retirement, PTO, sick leave, etc.. This salary range is merely an estimate and may vary based on an applicant’s location, market data/ranges, an applicant’s skills and prior relevant experience, certain degrees and certifications, and other relevant factors.
