Job Purpose Summary
+ We are seeking an experienced, detail-oriented **Paralegal** to join our Legal Department, with a primary focus on corporate legal matters, including entity management, corporate governance, and regulatory filings. This role will support the legal team in ensuring compliance with corporate requirements, maintaining accurate records, and assisting with a variety of transactional and administrative legal projects. The ideal candidate is highly organized, proactive, and comfortable managing multiple priorities in a fast-paced business environment.
What you will do
Corporate Governance & Entity Management
+ Manage and execute a full range of legal entity maintenance activities across domestic and international subsidiaries.
+ Prepare and file documents for entity formations, foreign qualifications, dissolutions, conversions, name changes, internal mergers, and business name registrations.
+ Oversee D&O and officer changes, draft internal resolutions, powers of attorney, and other governance documents.
+ Coordinate notary and apostille/legalization requirements for global jurisdictions.
Legal Filings & Compliance
+ Partner with internal teams and outside counsel to ensure compliance with local, state, and international corporate governance and regulatory requirements.
+ Support annual report filings and other statutory obligations.
+ Maintain entity documentation to ensure accuracy and audit readiness.
Technology & Systems
+ Administer and enhance the entity management system, including data entry, user training, and process documentation.
+ Leverage legal technology to streamline workflows and improve visibility into entity operations.
+ Collaborate with legal department on maintenance of the company’s contracts database
Cross-Functional Collaboration
+ Partner with Tax, Treasury, Finance, Regulatory, HR, and Compliance teams to support transactions, M&A, audits, and regulatory reporting.
+ Coordinate KYC and beneficial ownership responses for private equity and third-party inquiries.
+ Support legal aspects of RFP responses with accurate entity and corporate data.
Corporate Governance Support
+ Assist in preparing materials for board and shareholder meetings.
+ Maintain corporate minute books and digital records.
+ Track and report on entity governance metrics and legal spend related to subsidiary management.
Project & Vendor Management
+ Manage third-party service providers and outside counsel related to global entity support.
+ Monitor vendor performance and optimize legal spend.
+ Monitor and assist with compliance policies and procedures such as U.S. Sunshine Act filings.
What you will need
+ Bachelor’s degree required; Paralegal Certificate strongly preferred.
+ Minimum 5+ years of corporate paralegal experience, ideally a combination of law firm and in-house environments.
+ Proven experience supporting international subsidiaries and global entity portfolios.
+ Notary Public.
+ Experience in the medical device industry preferred.
+ Highly organized and detail-oriented, with the ability to manage multiple priorities.
+ Excellent written and verbal communication skills with a high degree of professionalism.
+ Strong problem-solving skills and the ability to work independently.
+ Collaborative mindset with experience working cross-functionally across departments and geographies.
+ Self-starter with a strong sense of ownership and accountability.
+ Advanced skills in Microsoft Office (Word, Excel, Outlook, PowerPoint, Visio) and Adobe Acrobat.
+ Experience with DocuSign, SharePoint, and cloud-based legal entity management platforms.
+ Comfortable learning new software and technology to support legal operations.

_A reasonable estimate of the current pay range for this role is $37 - $45/hour. Further, pay is offered based on geographic location, internal equity, market data, applicant’s job-related skills, commensurate experience, required licensures, certifications, and certain degrees._
