    COUNSEL, ENERGY AND COMMODITIES TRANSACTIONS

    RESPONSIBILITIES:

    Primary: Energy and Commodity Transactions

     

    + Lead, negotiate, and close agreements involving industrial gas supply, including liquid and gaseous supply of nitrogen, oxygen, argon, helium, methane, RP-1, hypergolic and related infrastructure, transportation means, and capital equipment to produce and store fuels and gases

    + Support upstream and midstream deal structures including pipeline development, storage, processing, transportation, and compression agreements

    + Draft and advise on purchase and sale contracts, capacity use agreements, tolling arrangements, utility service agreements, and multi-party transaction frameworks

    + Coordinate with regulatory/compliance teams on federal and state approvals including FERC, state utility frameworks, and environmental approvals as they relate to commodity flows and infrastructure deployment

    + Partner with engineering, procurement, operations, and finance teams to align commercial and legal positions with Starship launch cadence, reliability, and resilience

     

    Secondary: Real Estate Transactions

     

    + Support strategic site control through purchase agreements, easements, utility corridors, access rights, and lease negotiations for critical launch and support facilities

    + Structure agreements for rights-of-way, industrial parcels, temporary construction staging, facility expansions, and safety zone buffers

    + Assist with real estate due diligence including title, encumbrances, zoning, and environmental review

    + Coordinate with internal stakeholders and external counsel on commercial land deals, special-purpose vehicles, and complex closings

    BASIC QUALIFICATIONS:

    + JD or foreign equivalent from an ABA-accredited law school

    + 5+ years of experience as a lawyer supporting energy transactions

    PREFERRED SKILLS AND EXPERIENCE:

    + 5+ years of relevant transactional experience, ideally a mix of:

    + Top-tier law firm training in energy, commodities, infrastructure, or project finance

    + In-house experience at an energy company, utility, industrial operator, or high-growth technology organization

    + Demonstrated experience drafting and negotiating commercial contracts without heavy outside counsel reliance

    + Ability to support complex transactions end-to-end under accelerated timelines

    + Experience with LNG and industrial gas supply chains, commodity trading, or pipeline infrastructure

    + Familiarity with Texas or Florida energy, utilities, or industrial development regulatory frameworks

    + Prior exposure to large-scale infrastructure projects, mission-critical facilities, or complex project finance structures

    + Comfort working in uncharted territory where regulatory pathways are evolving or underdeveloped

    + Demonstrated ability to work in a fast-paced environment with minimal turnaround time

    ADDITIONAL REQUIREMENTS:

    + Must be admitted to the bar, in good standing, in at least one U.S. state

    + Must be available to work extended hours and weekends as needed

    + This position is based in Starbase, TX and requires being onsite – remote work not considered
