Job Title: Senior Legal Counsel
Position Summary:
Senior Legal Counsel role is to oversee all legal activities and be responsible for providing expert legal advice. The successful candidate must have an expert knowledge of legal corporate governance and be able to navigate the healthcare technology space. Primary responsibilities involve managing corporate governance and securities compliance, overseeing external counsel, and drafting, reviewing, negotiating and finalizing contracts with vendors and clients. Additionally, this position will provide legal support for the business including employment matters, records information, regulatory support, corporate communications and sales and marketing. This role will interact with internal business units, external customers, vendors and strategic partners to provide timely updates and support on various contractual issues. In addition, this position will have the opportunity to assist on other legal matters within all departments from time to time.
Essential Duties and Responsibilities:
+ Manage day-to-day legal matters to support the business, including the drafting, negotiation and finalization of general contracts, licenses, consulting agreements, business associate agreements, and product and service agreements. Investigate potential or alleged legal violations, employment legal matters, records information, regulatory support, government affairs, and corporate communications
+ Provide strategic legal advice and support to senior leadership on legal aspects relative to business practices, corporate strategies, policy interpretation, compliance, contractual disputes and legal trends
+ Develop, implement and update legal policies, procedures and practices in coordination with senior leadership
+ Anticipate and identify legal issues and proactively develop effective and practical legal strategies and solutions to address risk
+ Create processes for and manage compliance with securities rules and regulations
+ Provide support for M&A transactions
Education and Experience:
+ Juris Doctor (JD) Degree
+ Minimum of five years legal practice experience in negotiating and drafting product and service contracts, required
Knowledge, Skills and Abilities Required:
+ Exceptional negotiating, drafting and communication skills
+ Mature judgment with the ability to build relationships across the entire organization
+ Organized planner with strong analytical skills and the capacity to work simultaneously on a variety of diverse projects within strict time constraints
+ Strong working knowledge of commercial contracts required
+ Strong working knowledge of technology contracts preferred
+ Ability to work with key business partners and put legal analysis in its proper commercial context in order to maximize business results for all parties
+ Must be able to identify and articulate the business and legal concerns that are relevant to the company
+ Strong decision making skills based on sound judgment
+ Strong presentation and negotiation skills—ability to influence and persuade in decision making processes both internally and externally
+ Ability to draft clear, concise, professional and legally robust correspondence, contractual documentation, policies and other documentation
+ Must be able to work effectively as a team member with every level of Convey staff and external counsel.
+ Ability to drive project timelines to completion with a cross-functional team
+ Excellent research, analytical, problem solving and organizational skills required
+ Must be able to manage multiple projects/priorities and meet deadlines
+ Must be a self-starter with initiative and ability to seek guidance when necessary
+ Ability to deliver high quality work product and with a high degree of independence in a timely manner.
The expected base salary for this position ranges from $155,000 – 165,000 with a bonus target of up to 15% of the base salary. We do consider a wide range of factors when making offer decisions, including (but not limited to) the scope and responsibilities of the position, a candidate’s relevant skills, training, experience, education and where applicable, licensure and certifications obtained. We also consider organizational and market factors when making offer decisions.
